Background Information

This is the third five-year Chest Agreement for Open Text products (previously Hummingbird). Universities and colleges have consistently benefited from site licences, not available to commercial customers, and significantly discounted pricing.

Exceed - is a market and technology leading PC X server that empowers Windows users with cost-effective access to X Window applications on UNIX and Linux hosts with unparalleled performance and strong security.

Host Explorer - is a single, unified solution that offers both desktop-based software and a web-to-host based terminal emulation environment, both providing the same interface, the same features, the same power and the same administrative options.

Exceed 3D - empowers users with the experience of high-end OpenGL-based X applications, such as CAD/CAM design, manufacturing, medical, or seismic analysis applications, from Windows desktops. It is an add-on solution to Exceed. 

NFS Maestro Solo - allow Windows users to access UNIX file and printer resources using the UNIX-native NFS protocol. They offer unparalleled performance, security and convenience, without modifying mission-critical host systems.

NFS Maestro Server - turns Windows PCs into enterprise-class NFS servers, allowing NFS-enabled devices to seamlessly access Windows file resources.

Exceed on Demand  - is the next generation X11 window server solution that gives users high speed, reliable and security access over any network connection.

Connectivity Secure Shell - helps organizations achieve security compliance by providing Secure Shell (SSH) capabilities as an add-on product.  It can seamlessly encrypts network traffic generated by applications in compliance with industry regulations, such as FIPS 140-2. 

BI Query - is a powerful query and reporting application that helps users ask questions about database information and visualize the answers for more effective decision-making. BI/Query utilizes data models-graphical representations of underlying database structures - and a powerful reporting environment to access and analyze data sources quickly and easily. With BI Query, users can easily create ad hoc queries with qualifications and prompts. Meaningful, eye-catching reports can be created containing data from multiple sources, charts, tables, and crosstabs.

VAT will be added to the amounts above at the prevailing rate.

In the event that a site which purchases a three-year licence wishes to extend their licence for the final two years of the Agreement, they will pay the 'five-year licence' prices for those final two years but no refund will be given on payments already made.

Payment Terms

On receipt of a completed Order Form plus an Institution Purchase Order made payable to "Eduserv", sites will be invoiced for the Agreement year in whcih the licence issued. For each subsequent year, Sites will be invoiced three months in advance of the anniversary date on 1 May to cover the period from 1 August to 31 July.  All payments must be made to 'Eduserv' within 30 calendar days of the date of the invoice.

Pro-rata pricing is not available to Sites who become licensed part-way through a licence year.

Agreement Period

Start Date: 1 August 2011 - End Date: 31 July 2016

Commitment Period

Sites are bound by the Terms and Conditions of the Agreement, including payments, until the end of their chosen commitment period, either 31 July 2014 or until 31 July 2016.  There is an annual opportunity to opt out of the committment period by giving notice by 30 April and paying a penalty fee.  Details are provided in the Schedule of Fees (PDF, 109 Kb)  .

This Site licence is subject to the Terms and Conditions as per the:

Termination Clauses

Sites commit to a three-year or five-year licence period but have the opportunity to opt out after each year provided three months’ notice in writing (by 30 April) is provided to Eduserv.  Cancellation will take effect from 31 July in the same year. There is a cancellation charge of 10% of the combined total fees which would have been levied during the licence years thereby cancelled.  Eduserv will invoice the site for the relevant cancellation charge subsequent to receiving notification and will add its own Eduserv Fee of £150.

At the end of the Licence period for the software sites are required to delete all Open Text products from their systems. An exception to this is limited-user Exceed 3D licences, which are perpetual at the end of agreement but without updates or support.

It is the intention of Eduserv and Open Text to renew this five-year Agreement. If the Agreement is renewed or extended then new conditions may apply. If the Agreement is not renewed then any extension is a matter between sites and Open Text.

Location and Use Permissions

The Open Text software licensed under this Agreement may be used by any Authorised User of the Site for Educational Purposes, which includes the administration and management of the Site's educational and research operations, whether or not they are located on the Site's premises.  These permissions are described in the Standard Chest Agreement Terms and Conditions for Software.

Copying of the Software is allowed in accordance with the Terms and Conditions for the Standard Chest Licence for Software.

Access via Citrix or terminal server is allowed.

Personal Licences

Personal licences are not available.

Product Documentation

One set of media and documentation, for each product licensed, will be provided by Open Text or their appointed agent. Authorised Users may download and/or print off copies of the documentation supplied with and forming part of the Software for training purposes.

Training and Training Materials

Any training provided will be by negotiation between the Licensed Site and Open Text or their appointed agent. This may attract an additional charge. Any charges will be invoiced by Open Text or their appointed agent and will be billable to and payable by the Licensed Site concerned.

Support will be provided by Open Text via a single contact or his/her deputy at each Site.

System releases, new versions and functionality

Open Text or their appointed agent agrees to provide to the Institutions under this Agreement new Versions and new System Releases for all items for which they are licensed, when commercially available, as defined by the current Open Text Platform Availability List, throughout the period of the Agreement.

Method of delivery of product

The master copies of media and Licensed Materials will be delivered to the Licensed Site by Open Text or their appointed agent when the  Order Form (PDF, 592 Kb)   is signed by the Site and returned to Eduserv. Please read the Terms and Conditions of the Licence (PDF, 126 Kb)  .
