Payment Terms

On receipt of the signed and completed Addendum to IBM Quotation Terms & Conditions (see below “How to order”) and an Institution Purchase Order sites will be invoiced for the Agreement year in which the Licence is signed. For the subsequent years, Sites will be invoiced one month in advance of the anniversary date of their enrolment to the Agreement.

Prices exclude VAT. All purchase orders must be made out to IBM and payments must be paid within 30 calendar days of the date of invoice. Thirty day terms supersede any other terms provided on quotations, purchase orders, etc.

Agreement Period

Start date: 1 August 2010
End date: 31 July 2013 

All licence periods are for three years, unless three years from the joining date falls after 31 July 2014 in which case the licence will only be for two years (or one year, as appropriate).

Commitment Period

Institutions may participate in the Agreement at any time during its life, but shall be bound by its Terms and Conditions, including payments, until the end of the three-year commitment period.  It should be noted, however, that no licence will be granted which would extend beyond 31 July 2014. Thus, an institution joining after 1 August 2011 will have a two-year licence commitment and institutions joining after 1 August 2012 will only have a one-year commitment.

How to Order

Once you have decided which products you wish to purchase under this agreement, please follow the following steps:

1. Send an email to Emma Tine at IBM emma.tine@uk.ibm.com noting which products you wish to purchase through the Chest Agreement.

2. Emma will respond with a "formal quotation" as per the Chest pricing for an unlimited site licence. Her email will include three attachments:

      3. Raise a Purchase Order made out to IBM for the first year licence fees. Please include on your Purchase Order the quote number, product part number, price, quantity, payer, sold to and ship to address along with payment terms.

      4. Sign and complete Page 2 of the Addendum to IBM Quotation Terms & Conditions

      5. Return both the completed Page 2 of the Addendum and a Purchase Order to Emma emma.tine@uk.ibm.com

      Please note:
      Eduserv receives a Commission from IBM of £50 or £100 per licensed institution per annum in return for its role in negotiating and promoting this agreement. Any institution placing an order on IBM must ensure that the order is placed in compliance with the institution’s own procurement rules.

Licence Type

This Site licence is subject to the  Licence (PDF, 129 Kb)   and  IBM Addendum (PDF, 42 Kb)  .

Copying of the Software is allowed at any Institution for use by any authorised member of staff or student.

Termination Clauses

At the end of the Licence Period, unless a further Licence Period is entered into, Licensee must cease all use of the Licensed Product and de-install and destroy all copies in its possession and certify in writing to SPSS that such action has been taken.

Personal Licences

Home use licences (DOCX, 53 Kb)  for academic staff and students are included in this agreement.  Licensed Sites are allowed to put the software to which their site is licensed on CD to distribute to academic staff and currently enrolled students, as per the terms of the Agreement.

Trials

21 day trials are available from SPSS's website for SPSS's statistical products. These are for evaluation purposes only not to be used in a teaching or research environment.

Product Documentation

Documentation is provided on the media the software is supplied on.

Sites may make a reasonable number of copies of the documentation supplied in electronic format but not any printed documentation. No copyright notices, marks or other notices may be removed or altered.

Training is not provided under this agreement.

Online and telephone support will be provided by SPSS via up to four Technical Contacts per site Mon - Fri 9:00 - 17:00 (excluding Public Holidays)..

System releases, new versions and functionality

One copy of system releases and/or new versions and/or new supporting documentation will be shipped to Licensed Sites as and when they become commercially available.

Platforms

Microsoft Windows 7, Vista and XP, Mac OS and Linux (32 bit only).

Method of delivery of product

New Windows versions of the software should be downloaded from www.ibm.com/software/getspss. Older versions of the software must be requested from Emma Tine: emma.tine@uk.ibm.com  Licence keys are provided for 3,000 installs but sites may request more if necessary.

Linux 32-bit versions of the software must also be requested from Emma Tine: emma.tine@uk.ibm.com and are not available from the download area.

If you are an IBM Passport Advantage Customer your login and password will not work on the download site for IBM SPSS software.  The login and password will be different. Please also note that it is possible to download any of the software available from the site but only those products for which a Site is licensed will actually work.
