Payment Terms
On receipt of a completed Licence, Institutions will be invoiced for the Agreement year in which the Licence is signed.
For the subsequent year, Institutions will be invoiced three months in advance of the anniversary date of the Agreement, on 1 August.
There is monthly prorata charging for Institutions which become licensed partway through a licence year.
All Purchase Orders must be made out to Eduserv and Eduserv's invoices must be paid within 30 calendar days of the date of the invoice.

Start date: 1 November 2009 End date: 31 October 2014
Institution Commitment Period
Institutions may purchase one-year licences, each terminating on 31 October of the relevant year. A five year licence may also be purchased, ending on 31 October 2014.

Who can use the resource?
"Authorised User" means a currently registered student of the Licensee (and shall include distance learners), a faculty member or an employee of the Licensee, that are permitted to have to access the Products under the terms and conditions contained in the General Licence Conditions and Special Licence Conditions (DOC, 55 Kb) .

What can authorised users do?
Academic use only. Commerical use is prohibited.
Termination Clauses
Material downloaded under the Agreement before its expiry may continue to be used under the same licence conditions as pertain while the Agreement exists. Upon the expiration or termination of the Agreement, Licensees shall immediately cease all use of ESDU and remove ESDU from all servers on which it has been saved.
Once the Agreement has terminated then no further access to the service and to future publications will be possible unless the Agreement is renewed or extended. If the Agreement is renewed or extended then new conditions will apply. If the Agreement is not renewed then renewal is a matter between Institutions and IHS.
