Eligible Institutions

This Agreement is available to Thompson Scientific, Inc approved Higher Education Sites, Further Education Sites, Research Councils, Third Level Colleges in the Republic of Ireland and selected Associated Sites.

Background Information

It was originally established that the UK education community required bibliographic software at an affordable price in perpetuity and on a site licence basis. Extensive negotiations took place between Chest and Thomson Scientific, Inc (formerly Thomson ResearchSoft) and the Agreement for EndNote® and Reference Manager® resulted. Thomson Scientific, Inc has now released a web-based bibliographic software product and this has been added to the Agreement with slightly different licensing terms.

Product Description

The Agreement covers EndNote®, Reference Manager® and EndNote Web® software. The charges include support, new versions, system releases and associated new documentation. New platforms will be available within the charges if and when commercially available from Thomson ResearchSoft.

From direct connectivity with Internet databases to one-step bibliographies in hundreds of different styles, Thomson Scientific, Inc products ease the burden of researching and writing. Hundreds of thousands of researchers, scholarly writers, students, and librarians use Thomson Scientific, Inc products to search online bibliographic databases, organise their references, and create bibliographies instantly and automatically, instead of spending hours typing bibliographies, or using index cards. EndNote Web® is a web-based research and writing tool for students to find and organise references, create bibliographies and write essays, assignments and dissertations.

The annual site licence charges for supply of ISI ResearchSoft software products Reference Manager®, or EndNote® are:

Prices exclude VAT.

(1)   Fee covers one of the following Desktop Programs: EndNote, Reference Manager.
(2)   Fee covers an additional Desktop Program added to the initial licence.
(3)   Fee covers The Web-based Program; EndNote Web when licensed alone. If a site subscribes to EndNote site licence EndNote Web is provided free of charge.
(4)   Selected Associate Sites only.

Licensing The Desktop Programs
Licensed Sites are required to join for a minimum 3 year term. The licence for each Site will commence upon the date of issue of the initial invoice from the Reseller to the Site. This date will be inserted on the Schedule 4 (licence), or Modification thereto, by the Reseller. Subsequent Licence Fees will be invoiced by the Reseller during the 2 months prior to the anniversary date of an Institution's licence, with 30 days payment terms.

Licensed Sites may add additional Desktop Programs for an additional Licence Fee per additional product per annum (see table above). Desktop Program(s) added to an Institution's licence, during the 3 year term, will not affect the start and end date of an Institution's Desktop Program licence. Pro-rata charging does not apply.

Licensing The Web-based Program
If a site subscribes to EndNote site licence EndNote Web is provided free of charge. Otherwise the Web-based Program requires a minimum licence term of 1 year. Sites can choose from a 1 year or 3 year licence. The licence for each Site will commence upon the date of issue of the initial invoice from the Reseller to the Site. This date will be inserted on the Schedule 4 (licence), or Modification thereto, by the Reseller. Subsequent Licence Fees (if appropriate) will be invoiced by the Reseller during the 2 months prior to the anniversary date of an Institution's licence, with 30 days payment terms.

Notes:

  • Institutions have the right to purchase at these prices until 31 December 2010 (2012 for web-based program).
  • Prices quoted exclude VAT.
  • Prices include perpetual use of the Desktop Programs after an Institution's 3 year minimum licence period. Perpetuity is not applicable to EndNote Web.
  • A Site can participate in this Agreement or renew its licence, at the prices listed in the tables above, until 31 December 2010. (2012 for web-based program). Any change in licence fees negotiated will not affect existing licences until such time as they are renewed.

Payment Terms

The initial invoice will be sent by Adept Scientific on receipt of an Institution's licences (Schedule 4 documents). Adept Scientific will invoice subsequent annual payments in the 2 months prior to the second and third anniversary (if applicable) of an Institution's Licence. All payments are due on 30 day terms.

Agreement Period

Start date: 1 May 2001 End date: 31 December 2013

Commitment Period

This Agreement commenced 1st May 2001 and expires 31st December 2013. An Institution's licence will commence from the date of issue of the initial invoice from the Reseller to the Site. This date will be inserted on the Schedule 4 (licence), or Modification thereto, by the Reseller.

The last date for an Institution to commence a licence, based on the terms and conditions outlined in this agreement, will be 31st December 2010 or 2012, depending on product. Additional products added to an Institution's licence, during the 1 or 3 year term, will not affect the start and end date of an Institution's licence.

Commitments Period:

EndNote®, and Reference Manager®
Three (3) years.

EndNote Web® 
One (1) or three (3) years. Free of charge to sites which have an EndNote site licence.

An Institution's licence will commence upon the date of issue of the initial invoice from the Reseller to the Site. This date will be inserted on the Schedule 4 (licence), or Modification thereto, by the Reseller. Products added to an Institution's licence, during the 1 or 3 year term, will not affect the start and end date of an Institution's licence. The Web-based Program must be purchased for a minimum period of 1 year.

Licence Type

Desktop Programs
The licence is based on a Site Licence with General Licence Terms and Conditions for Software. Copying of the Software is allowed at any licensed Institution for use in accordance with Clause 3 of the Special Licence Conditions.

The Licensed Sites shall monitor the number of Programs downloaded from servers managed by the Site and/or CD-ROMs distributed by the Site. The Site will report the total number of Programs distributed, or its best estimate, to Thomson ResearchSoft annually at the anniversary date of the Site Licence.

Web-based Programs
EndNote Web® may be used by any employee, student or other persons authorised by the Licensee for the purposes of the normal business of the Licensee's organisation, whether or not they are located on the Licensee's premises or whether or not they are using equipment owned and controlled by the Licensee. Access will be via IP authentication. The EndNote Web® plug-ins may be downloaded and, for ease of deployment, copied and distributed to End Users of Licensee.

Personal Copies for Desktop Programs
A personal copy must be purchased for installation on any machine that is not owned or operated by a Licensed Site. Personal copies provided under the terms of this Agreement may be used while the End User is employed or enrolled at a Licensed Site or thereafter. Personal licences are not transferable to other individuals. Home use of personal copies is permitted, subject to the usage terms outlined in the Thomson Scientific, Inc product licence Agreement. End Users utilising personal copies may purchase upgrades at the personal copy price during the term of the Agreement, providing the End User is still employed or enrolled at a Licensed Site at the time an upgrade is released. A current and valid student/faculty/staff identification will be required to confirm status with a Licensed Site. Personal copies may be upgraded by the owner after the term of the Institution's Licence at the then prevailing market price for upgrades.

Termination Clauses

Desktop Programs
At the end of the period of Agreement, Licensed Sites, in accordance with the relevant terms and conditions of this Agreement and their respective licences (such terms and conditions to survive termination), may continue to use EndNote or Reference Manager in perpetuity in accordance with the terms of the Site Licence. No copies of The Desktop Programs shall be made during or after the Term for release or installation after the termination of the Agreement except in the case of hardware changes in which case like-for-like replacement copies can be re-installed. Without prior arrangement no further Upgrades or Support will be provided.

Licensed sites wishing to extend their licence for a further 3 years should complete 2 copies of the  Modification to Schedule Form (RTF, 468 Kb)   (Desktop programs) and send to Adept Scientific.

Web-based Program
At the end of an Institution's licence, End Users' access to The Web-based Program will discontinue. It will be the responsibility of the Licensed Site to inform its End Users about the expiration of the contract for EndNote Web in a timely manner. The message will contain information concerning the necessary transfer of the End Users' data or user library, which has been created and stored by the End User, in order that the data is not lost. The data or user library can be transferred to one of The Desktop Programs under the Chest/Thomson Scientific, Inc Agreement or an alternative product not covered by this Agreement. It may be necessary for the End User to purchase a personal copy of one of The Desktop Programs in order that the data or user library can be accessed perpetually.

Licensed sites wishing to extend their licence for a further period should complete 2 copies of the  Modification to Schedule Form (RTF, 463 Kb)   and send to Adept Scientific.

Personal Licences

Desktop Programs
Personal licences for faculty, staff and students of participating sites are available; users should refer to Adept Scientific for current pricing. Personal copies supplied in this way will be electronic copies only with manuals in PDF format.

Note: Staff and students may obtain personal copies of the Desktop product(s) provided that their Institution is licensed for that product, e.g. a Site must be licensed for EndNote for it's staff and students to purchase personal copies of EndNote under the Chest Agreement.

Personal copies provided under the terms of this Agreement may be used whilst the End User is employed or enrolled at the Licensed Institution or thereafter; however, personal licenses are not transferable to other individuals. Adept Scientific will manage the supply of personal copies and will invoice sites or end-users for supply of such, pending agreement with Adept on preferred method(s), which may include:

  • On-site reproduction and distribution of software and licence numbers, to be reported monthly to Adept and invoiced accordingly, which would allow sites to recoup costs with administration fee
  • Direct payment to Adept who then supply the media or download (and manual if requested)
  • It is possible for staff and students to purchase their own copy of the desktop packages EndNote or Reference Manager from Adept4Education, Adept Scientific's software store at http://edustore.adeptscience.co.uk/ , which your Athens accouts should already have access to. Staff and students from instututions who are licensed through the Eduserv Chest Agreement for EndNote or Reference Manager will automatically be able to purchase at £55 +VAT by using this route, thus helping reduce the amount of time spent confirming the status of staff and students when purchasing personal licences.

Web-based Program

Product Documentation

Desktop Programs
For Desktop Programs the initial copy is provided for the licensed product and the relevant platform(s). Documentation is included on the supplied master CD and can be printed from that. Additional printed documentation is available from Adept Scientific at prevailing prices.

Web-based Program
An on-line help facility is available only. No printed documentation is available. Training and Training Materials Adept Scientific may advertise training courses/facilities if/when available and may charge for training courses and the associated costs. More information (including costs) is available directly from Adept Scientific. Technical Support Support will be provided by Adept Scientific via a single contact or his/her deputy at each Licensed Institution. All other users must seek technical support on-site and not from Thomson Scientific, Inc or any of its agents. Licence numbers may be requested before technical support is provided.

System releases, new versions and functionality

Desktop Programs
One copy of system releases and/or new versions and new supporting documentation will be sent by Adept Scientific to Licensed Sites as and when they become commercially available within the site licence fee.

Web-based Program
Thomson Scientific, Inc will notify the main point of contact at each Institution of the availability of a new version of the product plug-in via email. The new version of the plug-in will be available for download by End Users directly from Thomson Scientific, Inc server(s). Thomson Scientific, Inc will apply all necessary server side system updates and upgrades on its hosted servers. Users of personal copies may purchase upgrades at the personal copy price during the term of their Institution's licence period, providing the user is still employed or enrolled at the Institution at the time the upgrade is released. A current and valid student/faculty/staff identification will be required to confirm status with the Institution. Personal copies may be upgraded by the owner after the term of the licence at the then prevailing market price for upgrades. Platforms EndNote®: Windows 2000, XP & Vista. Method of delivery of product

Desktop Programs
Distribution of all software will be handled by Adept Scientific, who will provide one set of media and documentation to the main named technical contact at each participating site, within the licence fees.

Web-based Program
Access via IP authentication and/or Athens authentication will be provided to End Users, on application, at each licensed Institution. This will be provided by Thomson Scientific, Inc as part of the licence fee. Documentation is provided by way of an on-line help facility only.

Desktop Programs Personal Copies
Adept Scientific will manage the supply of personal copies and will invoice sites or end-users for supply of such, pending agreement with Adept on preferred method(s), which may include:

  • On-site reproduction and distribution of software and licence numbers, to be reported monthly to Adept and invoiced accordingly, which would allow sites to recoup costs with administration fee
