This Agreement is available to Institutions of Higher and Further Education and Research Councils in the United Kingdom, Third Level Colleges in the Republic of Ireland, Associate sites and Adult Centres of Learning.

3. Background Detail/Community Evaluation

Eduserv entered into negotiations for PDF Converter Pro as a result of requests from the community. This latest amendment has been drafted as a result of a request from the supplier.

4. Products Covered

The Agreement covers ScanSoft PDF Converter Professional 4.0 from Nuance.

The charges also include internet web support at support.nuance.com/, as well as upgrades during the supported licence period.

5. Product Descriptions

ScanSoft PDF Converter Professional is a complete PDF solution offering an unmatched combination of creation, conversion, and editing, plus commenting and security features to give total document control and maximum efficiency. You can edit directly within a PDF file - just like working in the original file. Standard PDF forms can be instantly converted into fillable PDF forms. In addition, PDF Converter Professional features new mark-up and commenting tools, plus cutting edge security features. It is a cost effective PDF powerhouse.

6. Location and Use Permissions

"Authorised Users" are those individuals, who must be a currently registered student, faculty member or employee of the licensed institution, who are authorised by the licensee (Institution) to access the licensee's information services whether from a computer or terminal on the licensee's secure network or off site via a secure access management system.

A walk-in user is a person who is not a currently registered student, faculty member or employee of the licensed institution, but is permitted to access the secure network only via a computer or terminal within the licensee's premises, and is deemed to be an Authorised User.

It is a requirement of the Licensee (Institution) that it is satisfied that the Authorised User is an employee, student, or other person authorised by the Licensee for the purposes of the normal business of the Licensee's organisation.

Home use is permitted under the terms of this Site licence. However, this does not amount to a personal licence, as use at home by staff or students is subject to the same terms and conditions of use onsite, in that the use must be in support of the normal business of the institution, as per Clause 3 - Use of the Eduserv General Licence Conditions (Appendix A to Schedule 4).

PDF Converter Pro is compatible with Microsoft Office 97, Microsoft Office 2000 with SP3, Microsoft Office XP with SP3 or Microsoft Office 2003 with SP1.

10. Licence Type

This is a perptual Eduserv Site Licence Agreement governed by Eduserv General Terms and Conditions (Appendix A to Schedule 4 - General Licence Conditions), but as amended by:

11. Personal Licences

Personal Licenses are not covered by this Agreement. However, single boxed copies of the software can be purchased from the Supplier at www.sonantsoft.com.

12. Post Termination of Agreement Period

From the end of the Supported Licence Period, provided that the Licensee has fulfilled all conditions of the Licence, the Licensee may continue to use all copies of PDF Converter Pro in perpetuity but without any further support and upgrades. No further charges are payable except if continued support and update service are required. This can be purchased immediately after the end of the supported licence period on a rolling 12 month basis.

The initial copy is provided in electronic PDF format on the Software Media CD supplied.

Copying of documentation is permitted as per Clause 4 - Extent of Permitted Reproduction of Eduserv's Standard Terms and Conditions of Use (Appendix A to Schedule 4 - General Licence Conditions).

15. Training and Training Materials

The supplier has indicated that due to the ease of use of PDF Converter, no training should be required. If institutions feel that they require in-depth training, it is available from various accredited training companies around the UK. 16. System Releases, New Versions and New Functionality

One copy of system releases and/or new versions and new supporting documentation will be sent by the Licensor to each Licensed Site as and when they become commercially available. Licensed Sites are deemed to be in possession of a Nuance (Licensor) Support Agreement effective to 3 years after the date of licence grant.

The charges for a perpetual licence are:

To the above charges will be added VAT at the prevailing rate.

The "FE" Band includes all eligible FE Colleges in the UK. The "A" and "B" Bands includes all eligible Universities and Research Councils in the UK and eligible Third Level Colleges in the Republic of Ireland. This list shows the UK HE and Research Councils and Irish Sites included in the Agreement, and which of the two price bands they fall into. All Associate sites & Adult Centres of Learning are classifed as "B" sites.

19. Payment Terms

Sites can choose to make a one off payment for the full cost of the licence or make 3 equal installments. An initial payment plus VAT will be due on receipt of licence to cover the entire licence fee or the first installment, depending on which payment option you choose. If you decide to pay in 3 equal installments then the second installment plus VAT will be due 3 months before the first anniversary of the date of licence grant and the third installment plus VAT will be due 3 months before the second anniversary of the date of licence grant.

Please note: you are advised that because of the requirement for Eduserv to collect monies due before the anniversary date, two charges may fall initially into one academic accounting year.

All payments must be made to "Eduserv" within 30 calendar days of the date of invoice.

20. Method of Delivery of Product

The master copies of media and Licensed Materials will be delivered to the Licensed Site by Sonant Software when the Licence is signed by the Site and returned to Chest.
