This is a 3 year Agreement commencing on 23 September 2007 and terminating on 22 September 2010.

(v) Institution Commitment Period

Institutions may participate at any time during the Agreement Period; however they will be bound until the end of the Agreement Period. The Agreement to which this refers is a formal Agreement between Eduserv and PCI Geomatics.

2. Eligible Sites

This Agreement is available to Institutions of Higher and Further Education, and Research Councils in the United Kingdom and Ireland, Associated Sites and SURFdiensten.

3. Background Detail / Community Evaluation

In 1999 an approach by PCI Geomatics was made to Chest proposing an Agreement for PCI's range of geomatics software products. PCI Geomatics already had a significant number of clients in Higher Education and Research in the United Kingdom and Ireland.

Chest received advice from GIS contacts within the Community and was encouraged to negotiate an all-encompassing site licence Agreement. An Agreement was reached which commenced in 1999 and expired in 2004. It was a welcome addition to our portfolio of GIS-related software. This is now the 2nd renewal of this Agreement for the period to September 2010.

4. Products Covered

The Agreement covers all Geomatica modules produced by PCI Geomatics; those excluded are listed below.

The Agreement includes all new software versions or upgrades, system releases and technical support on all products/platforms covered by the Agreement through a toll-free number and e-mail at support@pcigeomatics.com via one or two nominated contacts at each site. New platforms will be available within the charges if and when commercially available from PCI Geomatics.

Products currently EXCLUDED from the Agreement are:

The excluded modules can be purchased at extra cost by any Site direct from PCI. Includes one set of media, documentation and hardware devices. Other products may be offered during the lifetime of the Agreement. Sites that wish to purchase these products may do so by contacting PCI direct.

The Windows versions of the software require a hardlock. Normally one hardlock is supplied which is attached to a nominated PC acting as a licence server to the rest of the network. Additional hardlocks can be purchased from PCI at £50 + VAT for use on standalone machines or seperate networks.

The UNIX versions of the Geomatica software do not require a hardlock.

8. Institution Evaluation Copy / Exhibition Licence

Evaluation licences are free to sites for a period of 30 days. In addition to the full software and documentation (on CD-ROM), sites are provided with access to the PCI Support Service during the evaluation period, by email at support@pcigeomatics.com

9. Licence Type

Site licence with normal General Licence Terms and Conditions for Software. Copying of the Software is allowed at any licensed Institution in accordance with the General Licence Conditions for Software.

The licence (Schedule 4), and the conditions thereto, overrides the PCI Software Licence Agreement which is attached to the shrink-wrapped media.

11. Post Termination of Agreement Period

In return for a one-off fee, as shown below, sites may continue to use the Geomatica software in perpetuity but without further support or upgrades.

Perpetual Use Licence for PCI Geomatica: £5,000

Sites that do not wish to make this payment will be required to delete all copies of the Product from their systems.

12. Product Documentation

The initial copy is provided by PCI with the first software shipment to the site. Additional documentation can be printed from the documentation CD-ROM supplied with the software. All PCI software manuals are supplied on a CD-ROM in Adobe PDF format for reproduction purposes. Additional copies of printed documentation can also be purchased from PCI Geomatics. The current cost for these is £90.

This price may vary during the lifetime of this Agreement.

13. Right to Copy Documentation

Copying of Licensed Materials is permitted.

14. Training and Training Material

Training on PCI products covered under this Agreement will be available in the UK to any site user at a Chest discount rate of at least 25 percent. A detailed schedule of courses will be posted on the PCI website.

15. System Releases, New Versions and New Functionality

One copy of system releases and/or new versions and new supporting documentation will be sent by PCI to Licensed Sites as and when they become commercially available.

Some patch updates and bug fixes are available free of charge from the PCI Geomatics

16. Initial Consultancy/Support

Support on all products/platforms covered by this Agreement will be provided by PCI Geomatics via a single contact or his/her deputy at each Site.

Note: If a product and/or platform ceases to be developed during the lifetime of the Agreement, support of that product/platform will continue to be provided for no less than one year from the end of development of that product/platform.

17. Pricing

18. Payment Terms

On receipt of a completed Licence, Sites will be invoiced by Eduserv for the Agreement year in which the Licence is signed.

For each subsequent year, Sites will be invoiced three months in advance of the anniversary date of the Agreement (invoice date: 23 June ), the final payment to cover the period to 22 September 2010.

There is no prorata charging for Sites that become licensed partway through a year.

All payments must be made to "Eduserv" within 30 calendar days of the date of invoice.

You are advised that because of the requirement for Eduserv to collect monies due before the anniversary date two charges may fall initially into one academic accounting year.

19. Method of Delivery of Product

On receipt of the completed Licence (Schedule 4) [2 copies], Chest will verify eligibility to participate, and will forward the paperwork to PCI Geomatics. The master copies of media and documentation for all the products offered, to run on the platforms ordered, will then be delivered to the Licensed Site, within 30 days, by PCI Geomatics.

The products are currently distributed on the following CD-ROMs:

* There are a total of three CD-ROMs for these products, each containing a number of platforms. Sites will be provided with the CD-ROM(s) that contain the platform(s) ordered.

Each site that orders the Windows versions will also be provided with one hardlock.

The installation CD-ROM(s) can be copied if required for distribution purposes, and additional media and documentation sets can be purchased from PCI Geomatics for £90 + VAT per set. This charge may vary during the lifetime of this Agreement.
