Institutions may participate in the Agreement at any time during its life, but they will be bound by the Terms and Conditions, including payments, until the end of the term of the Agreement.

5. Licence Type

This Site licence is subject to Eduserv General Licence Terms and Conditions for Software with exceptions as outlined in the Special Licence Conditions.

Copying of the Software is allowed at any Institution for use by any member of staff or student in accordance with the General Licence Conditions for Software.

6. Personal Licences

Personal licences are not available under this Agreement.

7. Post Termination of Agreement Period

At the end of a Licence period the software is owned in perpetuity and sites may continue to use all copies for educational purposes.

It is the intention of Eduserv and Productivity4You to renew this 2 year Agreement. If the Agreement is renewed or extended then new conditions may apply. If the Agreement is not renewed then any extension is a matter between institutions and Productivity4You.

8. System Releases, New Versions and New Functionality

One copy of system releases and/or new versions and new supporting documentation will be sent by Productivity4You to each Licensed Institution as and when they become commercially available.

9. Location and Use Permissions

The product(s) may be used by any employee, student or other persons authorised by the Licensee for the purposes of the normal business of the Licensee’s organisation, whether or not they are located on the Licensee’s premises. These permissions are described in the General Licence Terms and Conditions for Software.

10. Background Detail/Community Evaluation

This is the fourth Chest Agreement for ViewLet Builder. It has been renewed after consulting with the academic community and receiving significant demand for the products.

12. Product Documentation

Documentation is included on the media with the software, and can also be downloaded in PDF or Word format from the Supplier’s website. Updates are also downloaded from this website using a licence key provided to the Licensed Institutions by the Supplier.

13. Right to Copy Documentation

Copying of documentation is permitted.

14. Training and Training Materials

The Media, supplied by FTP download from the Supplier’s website, contains a tutorial which may be uploaded to a Licensed Institution’s network. The Supplier will, if requested, provide training, at the standard rates being charged by the Supplier at the time the training is provided.

15. Initial Consultancy/Support

The Supplier will provide telephone advice and support to the nominated Technical Contact and/or his/her Deputy at Licensed Institutions during normal business hours. The Supplier will, if requested, provide on-site support, at the standard rates being charged by the Supplier at the time the support is provided.

21. Payment Terms

This agreement is of 2 years duration, commencing 1 July 2009 and terminating 30 June 2011.

On receipt one completed Licence Schedule 4 (Schedule of Particulars) plus an Institution Purchase Order made payable to Eduserv, sites will be invoiced for the Agreement.

Prices exclude VAT.

All purchase orders must be made out to Eduserv and payments must be paid within 30 calendar days of the date of invoice.
