LICENCE INFORMATION

1. Agreement Details

This Overview represents the detail of the formal Agreement which exists between Eduserv and Key Note Ltd. The following sections are written to enable Institutions to make a decision as to whether or not the product is appropriate for their needs.

(iii) Agreement Period

This is a three year Agreement commencing on 1 January 2009 and terminating on 31 December 2011. Institutions may purchase one, two, or three year licenses. 

(iv) Institution Commitment Period

Institutions may participate at any time during the Agreement Period; however they will be bound until the end of the chosen Licence Period.

This Agreement is available to Further Education Institutions in the UK.

4. Product Description

The Chest Agreement for Key Note Market offers a package of 140 individual reports specifically chosen for the Further Education community.  The reports cover a varied range of market sectors including - among many others - Business Services, Computing & IT, Education & Training, Environment, Financial Services, Food & Catering, Lifestyle, Retailing and Travel & Tourism.

Valuable aids of use in particular in the fields of Marketing, Business, Accountancy, Tourism and Leisure and Finance.

Each individual report is split into the following chapters:

    The reports are split into four groups.  The package of 140 reports included in the Chest Agreement consists of all four different types of reports:

    1. Key Note Reports
    2. Key Note Market Reports Plus
    3. Key Note Market Reviews
    4. Key Note Market Assessments

    Key Note Reports are invaluable aids to anyone needing to gain highly detailed understanding of a specific market for more informed decision making.

    Key Note Market Reports Plus concentrate on more dynamic consumer markets and offer the same incisive market intelligence as Key Note Reports, but include additional chapters and primary research data.

    Key Note Market Reviews concentrate on the bigger picture and are designed to inform on developments and opportunities across entire industry sectors.

    Key Note Market Assessments provide in-depth strategic analysis and include primary research. These premium reports examine the scope, dynamics and shape of key UK and European markets, with particular focus on financial services, consumer and lifestyle sectors.

    5. Licence Type

    Site licence with normal terms and conditions of use (Appendix A to Schedule 4 - General Licence Conditions), but please note amendments listed in Appendix C to Schedule 4 - Special Licence Conditions.

    Sites purchasing under this Agreement will be issued by Key Note with a copy of Key Note's Terms of Business Statement. All due care has been taken to ensure that this Statement is compatible with the Chest / Key Note Agreement General Licence Conditions (Appendix A to Schedule 4) and Special Licence Conditions (Appendix C to Schedule 4). However. in the event of a clash between Key Note's Terms of Business and the terms and conditions of this Chest / Key Note Agreement, the terms and conditions of the Agreement shall take precedence.

    Downloading of the data is allowed at any Institution for use by any member of staff or student in accordance with the standard Code of Conduct for the use of Software or Data.

    Please note that Licensed Sites and their authorised End Users may print or download partial results of the searches of, and data in Key Note Market Information reports subject to the terms and conditions in the Licence (see "21. Access to Service and Downloading" below).

    6. Personal Licences

    Personal licences are not available under this Agreement.

    7. Post Termination of Agreement Period

    Material downloaded under the Agreement before its expiry may continue to be used under the same licence conditions as pertain while the Agreement exists. Once the Agreement has terminated then no further access to the service will be possible unless the Agreement is renewed or extended. If the Agreement is renewed or extended then the new conditions will apply. If the Agreement is not renewed then renewal is a matter between Institutions and Key Note Ltd.

    8. Alterations / Additions to Databases and New Functionality

    Any additional features or functionality that become included as a standard part of the products covered by this Agreement will be included within this Agreement at no extra cost.

    9. Location and Use Permissions

    Authorised Users are those individuals, who must be currently registered students, faculty members or employees of the licensed institution, who are authorised by the licensee to access the licensee's information services whether from a computer or terminal on the licensee's secure network or offsite via a secure access management system. A walk-in user is a person who is not a currently registered student, faculty member or employee of the licensed institution, but is permitted to access the secure network only via a computer or terminal within the licensee's premises, and is deemed to be an authorised user.

    Note: the granting of an Athens Username and Password is not a right to use in itself.

    For clarity, and in response to frequently asked questions, the following additional definitions are given.

    Distance Learning:

    Distance learning is any learning that takes place with the instructor and / or necessary materials geographically remote from the student. For example distance learning may occur by surface mail, video, interactive or cable TV, satellite broadcast, or any number of Internet technologies such as message boards, chat rooms, and desktop video or computer conferencing. The student may be either normally UK domiciled or permanently domiciled overseas.

    Students studying via Distance Learning can be categorised as:

    1. UK domiciled, UK based; that is, all students resident and studying within the UK.
    2. Non-UK domiciled, UK based; that is, a student with an overseas home address but studying within the UK.
    3. UK domiciled, non-UK based; that is, British nationals on business or studying abroad.
    4. Non-UK domiciled, non-UK based; that is, overseas home address studying abroad. The licence for Key Note Market Information permits such use.

      Remote Access within the UK:

      Access to data service and content geographically remote from the licensed institution but within the boundaries of the UK.

      The licence for Key Note Market Information permits such use.

      Remote Access Overseas:

      Access to data service and content via a licensed institution from outside the UK.

      The licence for Key Note Market Information does not permit such use.

      Student Placement in Industry:

      A registered student of an institution who combines academic study with periods of practical work experience; e.g. sandwich students.

      The licence for Key Note Market Information permits such use, but any use for the benefit of a student's employer is specifically excluded.

      People from Industry on Courses run for their Employer:

      Industrial placement.

      Such use is specifically excluded from the licence for Key Note Market Information.

      Retired Members of Staff:

      Former employees of a licensed institution.

      Use rights terminate upon cessation of employment, except in the instance where the employee becomes a student.

      Honorary Members of Staff:

      Persons of eminence in their field, and those who perform extraordinary meritorious service to an Institution.

      Such use would be permitted except where the user was doing so in pursuit of their non-academic activity.

      Alumni:

      Graduates of an Institution.

      Use should terminate upon graduation and not be permitted again unless the graduate again qualifies under the terms for employees and students.

      Walk-in Users:

      Public access and Library terminals.

      Use by walk-in visitors or general public users is not allowed. It is generally acknowledged that licensed institutions may be unable to segregate public or library computers from the rest of the network and that occasional walk-in, public use may occur. However, Key Note would ask all licensed sites to do all they reasonably can to prevent such use.

      It remains a requirement of the Licensee (Institution) that it is satisfied that the user is an employee, student, or other persons authorised by the Licensee for the purposes of the normal business of the Licensee's organisation.

      SUPPORT

      10. Background Detail / Community Evaluation

      This Agreement has come about as a result of negotiations between Eduserv Chest and Key Note Ltd entered into in response to requests from the FE community.

      11. Institution Evaluation

      A one week free trial is available via username / password. Contact Cath Cable at Key Note and quote "Chest".

      A free report (PDF format) to use for evaluation purposes can be downloaded from the Key Note website.

      12. Product Documentation

      Key Note provides four hard copies of its help manual to newly registered sites. If extra copies are required Licensed Sites can either make copies themselves or request additional copies, free of charge, from Key Note. Email Cath Cable at Key Note.

      13. Right to Copy Documentation

      Copying of Product Documentation is permitted (see "12" above).

      14. Training and Training Materials

      Key Note provides four hard copies of its help manual to newly registered sites. Sites may make further copies of these (see "12" and "13" above).

      An email helpline for students is provided student@keynote.co.uk and there is an online help facility.

      Onsite training is not normally required as the Key Note product is straightforward and easy to use. However, should any Licensed Site feel that it requires onsite training, Key Note will consider providing it and may waive the normal fee that would apply. Any fee that does apply will be at the Key Note training fee rate applicable at the time the training is required. Email Cath Cable at Key Note.

      15. Document Delivery

      Online access to reports is via IP Address onsite and Athens offsite.

      20. Updates

      Key Note aims to update most of their current titles every 12-18 months (depending on demand and market conditions) and will therefore replace any older reports listed as and when updated reports become available. All relevant updates will be loaded onto the Chest subscription site every 12 months.  

      21. Access to Service and Downloading

      When the Key Note Licence is signed by the Site and returned to Key Note, Site access to Key Note Market Information will be authorised by Key Note to the Site.

      Licensed Sites and their authorised End Users may print or download partial results of the searches of, and data in Key Note Market Information reports subject to the terms and conditions in the Licence.

      Please note that under the terms of this Agreement Authorised End Users may only print or download full or partial results of searches of the data in licensed products in line with the Fair Dealing conditions set out below:

      Under the Fair Dealing conditions for this Agreement, copyright is infringed where either the whole or a "substantial part" of a work is used without permission. For the purposes of this Agreement, a substantial part of the work will be considered used if more than 50% of the content is downloaded and printed.

      Licensed Sites shall precede the data made available to its students and employees with the following agreed Copyright Notice:

      "No part of these publications may be reproduced, copied, stored in an electronic retrieval system or transmitted save with written permission or in accordance with the provisions of the Copyright, Designs and Patents Act 1988 except as outlined in section 26.6 of the Eduserv Chest / Key Note Agreement, Appendix C to Schedule 4 - Special Licence Conditions."

      Licensed Sites may request usage statistics from Key Note at a frequency no greater than quarterly, and Key Note shall provide such usage statistics within 5 working days of any such request.

      22. Athens Access Management System

      Access can be authenticated by use of the Athens Access Management System.

      Each licensed institution is required to have an Athens Domain Administrator before registering for access to the data. Details can be located at www.athensams.net/orglist.php.

      23. Registration Procedures

      After Key Note is provided by the licensed site with details of the IP range to be used they will contact the licensed site within 48 hours (2 working days) to provide access details. Licensed Sites may provide IP range details on the Key Note order form or email Key Note to provide the details. Email Cath Cable at Key Note.

      Key Note will also inform Athens that the Licensed Site should have Key Note Market Information added to its list of accessible resources.

      Where a printed product has been requested Key Note will contact the licensed site to confirm delivery instructions.

      SIGNING UP

      24. Pricing 

      Full online access to 140 reports: £800 per annum for three years, £820 per annum for two years, £840 per annum for one year.

      25. Payment Terms

      Sites will be invoiced by Key Note for a twelve month period dated from when Key Note receive and process a licence application.

      All payments must be made to the "Key Note Ltd" within 30 calendar days of the date of invoice.

      Key Note will invoice Licensed Sites for the initial fees on receipt of a correct Key Note Order Form from a Site. Payment will be made by Licensed Sites to Key Note within thirty days from receipt of a correct invoice or payment being due; whichever is the later.

      Licensed Sites shall pay to Key Note the fees and charges described in their order. If a Licensed Site does not settle an invoice within 30 days of the invoice date interest will accrue at a rate of 1.5 percent per month, or the highest rate allowable by the applicable law, whichever is the lower.

      In addition, if a Licensed Site does not settle an invoice within 30 days of the invoice date, Key Note may write to the Licensed Site to:

    8. suspend a service;
    9. require the Licensed Site to provide such other assurances as Key Note may require in order to secure the Licensed Site's payment obligations. Charges are exclusive of all current and future taxes and fees, all of which Licensed Sites will be responsible for and will pay in full (except for taxes based on Key Note's net income).

      If Key Note becomes entitled to terminate these terms, any sums then due to Key Note from a Licensed Site will immediately become payable by the Licensed Site in full.

      26. Action to Participate

      This is a link to a downloadable Key Note Order Form. Please print and complete one copy, then post or fax it with an Institution Purchase Order direct to Key Note at the address shown on the form.

      The Purchase Order must be made payable to Key Note Ltd.

      Key Note will then process the application, provide access / hardcopy and raise and send the appropriate invoice.
