1. Agreement Details

This Overview represents the detail of the forthcoming Agreement (subject to contract) between Eduserv and Collins Bartholomew. The following sections are written to enable Institutions to make a decision as to whether or not the product is appropriate for their needs.

1.1 Product Name

1.2 Product Owner

The products are owned by Collins Bartholomew Ltd, a wholly-owned subsidiary of Harper Collins Publishers Ltd.

Harper Collins Publishers Ltd is a Company registered in Scotland with the Company No SC027389. It has its Registered Office at 103 Westerhill Road, Bishopbriggs, Glasgow, G64 2QT. This is also the Supplier’s address for day-to-day business and administration.

1.5 Agreement & Site Commitment Periods

This agreement commences on 1 April 2010 and terminates on 31 March 2015. Institutions may participate at any time during the period and will be bound until the end of their chosen licence period.

2. Eligible Institutions

This Agreement is available to Higher Education, Research Councils, the Museum of London, and Further Education Institutions in the United Kingdom. This Agreement is also open to Universities, Institutes of Technology, National University of Ireland Colleges, Colleges of Education, Colleges of Further Education and State Aided Institutions in the Republic of Ireland. Associated Sites may also be eligible to participate in this Agreement with express permission from Collins Bartholomew.

5. Licence Type

Site licence with normal Eduserv General Licence Conditions for Datasets - effective from 1 January 2008 and subject to some Special Conditions.

6. Personal Licences

Personal Licences are not available under this Agreement.

7. Post Termination of Licence Period

At the end of a Licence Period, if no further Licence Period is entered into by agreement between Collins Bartholomew and a Licensed Institution, the Licensed Institution shall be required to deinstall from its systems and destroy all licensed Products and Licensed Materials.

8. Alterations/Additions to Databases and New Functionality

Collins Bartholomew Digital Mapping Data is updated at least annually.

9. Users Rights

Authorised Users

'Authorised User' means a type of user who is a currently registered student of the Licensed Institution, a faculty member or an employee of the Licensed Institution, in each case authorised by the Licensed Institution to access the Licensed Institution's library and information services whether from a computer or terminal on the Licensed Institution's Secure Network or offsite via a Secure Access Management System or, in the case of Licensed Materials, access to the Licensed Institution's onsite library facilities.

Other Permitted Users:

"Other Permitted Users" are the following categories of user that are permitted to have access to the Products via a Licensed Institution’s library and information services whether from a computer terminal on the Licensed Institution’s Secure Network or offsite via a Secure Access Management System or via the Licensed Institution’s onsite library facilities:

• students undertaking a course of study leading to a qualification awarded by the Licensed Institution;
• teachers of Authorised Users and librarians involved in their instruction and support who are not employed by the Licensed Institution;
• retired members of staff of a Licensed Institution;
• bona fide members of a Licensee’s Alumni Association;
• visiting academics, researchers and research supervisors from other educational or research establishments;
• visiting students from other educational establishments;
• any person associated with the Licensed Institution but not employed by the Licensed Institution such as pastoral and welfare workers or support people.

Also Permitted:

• Walk in Users are permitted, but the Licensed Institution shall use reasonable endeavours to satisfy itself that all Walk-in Users are authorised by the Licensed Institution for the purposes of the normal business of the Licensed Institution's organisation. A walk in user is defined as a person other than an Authorised User who is permitted to access the secure network of the Licensed Institutions only via a computer or terminal within the Licensed User's premises.

10. Usage Rights

Special Note:
Use of licensed data over the internet is restricted to a single location map from each data set (individual configured Product) purchased, no larger than 2048 x 1048 pixels in dimension, together with a Copyright Acknowledgement. All data can be provided over a Licensed Institution's intranet, under normal Eduserv Terms and Conditions of Use. The above limited internet/intranet use of data is permitted only to sites holding a valid Licence. Sites wishing to install the full data on their internet accessible web site will require a special Education/Commercial licence, which can be acquired from Collins Bartholomew upon request. Increased licence charges will be applied by Collins Bartholomew for this special licence.

Permitted use of the Licensed Work includes:

• teaching;
• research;
• personal educational development;
• administration and management of the business of the Licensee's organisation;
• development work associated with any of the above.

General exclusions:

• paid for consultancy or services leading to commercial exploitation of Product;
• work of significant benefit to the employer of students on industrial placement or part-time courses.

Inter-Library Loan:
Collins Bartholomew will allow Inter-Library Loan by supply from Licensed Institution to an authorised user of another library (whether by post, fax or secure electronic transmission, using Ariel or its equivalent, whereby the electronic file is deleted immediately after printing) a paper copy of an electronic original of parts of the Licensed Work.

Incorporation of parts of the Licensed Work:
Collins Bartholomew will allow incorporation of parts of the Licensed Work for use by Authorised Users in printed and electronic course packs, study packs, resource lists and in any other material to be used in the course of instruction and/or in virtual and managed environments hosted on a Secure Network. Collins Bartholomew will allow incorporation in printed or electronic form in assignments and portfolios, theses and in dissertations including reproductions of same for personal use and library deposit . Each item shall carry appropriate acknowledgement of the source, listing title and copyright owner.

Institutional Repositories:
Collins Bartholomew will allow Licensee to deposit the learning and teaching objects as created above in electronic repositories operated by the Licensee on a Secure Network and in the JORUM Repository. The access and use of such learning and teaching objects shall be governed by the terms and conditions of the applicable repository.

11. Background Detail/Community Evaluation

Eduserv has had an agreement with Collins Bartholomew for the supply of Digital Maps since 1990.

13. Product Documentation

Collins Bartholomew Digital Map Data is provided with comprehensive on-line "Help" and "Readme" files and complimentary information. No printed documentation is provided.

14. Right to Copy Documentation

Copying of documentation is permitted.

15. Training and Training Materials

No training or training materials are provided under this Agreement.

16. Document Delivery

Collins Bartholomew Digital Map Data is available for downloading from Eduserv’s website by the Licensed Institution’s nominated Technical or Deputy Technical Contact. The download page is protected and a username and password will be supplied to Technical Contacts by Eduserv: help@eduserv.org.uk

Data will be available from the download page. Access credentials will be supplied by Eduserv Help at the start of the agreement.

Each individual Fee covers the supply of the Product in the data type as specified in all of its available formats (please see chart above in section 4. "Product Description").

Prices do not include VAT.

24. Payment Terms

An Institution may choose to license any number of configured individual Products from the grid above and may choose to license each for whatever of the four Licence Period options for each particular Product.

Any Order from any Institution must have a total aggregate value of £500 or more. Eduserv shall refuse to process any Order having a total aggregate value of less than £500.

Any Order from any Institution which has a total aggregate value of less than £500 per annum, taking into account the chosen Licence Period, shall be invoiced by Eduserv in one single invoice regardless of the chosen Licence Period. An Institution placing an Order which has a total aggregate value of £500 per annum or more, taking into account the chosen Licence Period, will be invoiced annually -- unless the Institution chooses to be invoiced by Eduserv in one single invoice.

Licensed Institutions will pay to Eduserv an initial Fee and subsequent annual Fees as listed above. Fees are expressed in United Kingdom Pounds Sterling (£’s) and are exclusive of VAT. The initial Fee will be due on receipt of Licence Form. Thereafter an annual payment will be due three months in advance of the anniversary of the Licence commencement date (if applicable) to cover the next licence year -- unless the total aggregate value is less than £500 per annum, in which case the Licensed Institution will only be invoiced once for the full amount.

All Purchase Orders must be made out to Eduserv and Eduserv's invoices must be paid within 30 calendar days of the date of the invoice.

From the end of the Licence Period(s) no further charges are payable except that if continued service is required this will be a matter for negotiation between Collins Bartholomew and the Licensed Institution.

25. How to Order

One original signed copy of the Schedule 4 (Licence) is required:
