(iv) Agreement Period

This is a 3 year Agreement commencing 1 November 2004 and terminating 30 November 2007. Institutions may participate at any time during the period.

The Agreement to which this refers is a formal agreement between Eduserv and TAG Learning Ltd.

2. Eligible Sites

This Agreement is available to institutions of Higher and Further Education and Research Councils in the United Kingdom, Third Level Colleges in the Republic of Ireland, and to Chest Associated Sites.

3. Background Detail / Community Evaluation

Eduserv Chest entered into negotiations for Inspiration 8.0 as a result of requests from the community.

4. Products Covered

The Agreement covers Inspiration 8.0.

The licence and other materials provided shall be as follows: one Media Set of documentation consisting of 1 x printed Getting Started Manual and 1 x printed Template Manual and 1 X program CD is provided with every 10 software licences purchased (as well as for those Institutions that purchase 5-9 licences). The initial purchase of licences must be for a minimum of 5. In addition, for each order placed (must be for a minimum of 5 licences), a Site will receive 1 x training CD-ROM called Exploring Inspiration and 1 x Teacher's Guide (called Achieving Success with Inspiration) which will be provided when the product is initially delivered to the Site. Additional documentation and CDs can be purchased.

The charges include a number of Teacher Home Licences equivalent to the number of Institution Licences purchased. With Teacher Home Licences, teaching staff at purchasing institutions may install Inspiration 8.0 free of charge on their home computers on a one-for-one basis for the total number of licences the institution has purchased. For example, if the institution has purchased 50 licences for Inspiration, then 50 teachers are able to install the product on their home computers. They will need to make a copy of the software themselves, or can purchase additional CDs from TAG.

New versions, system releases and associated new documentation are not covered under the Agreement. On release of new version, complete new software and documentation packs will be made available to licence holders under the Agreement at 50% cost on application to TAG. Sites purchasing under the Chest Agreement up to one month prior to the release of a new version will receive an upgrade to the new version free of charge on application to TAG.

5. Product Description

Inspiration 8.0 offers users a highly versatile capability for conceptual mapping to support a wide variety of teaching, learning and planning functions. Powered by proven techniques of visual learning, Inspiration supports improved achievement for students and teachers. Inspiration strengthens critical thinking, comprehension and writing across the curriculum. Its integrated diagramming and outlining environments work together to help students comprehend concepts and information. Teachers use Inspiration to customize instruction, introduce concepts, achieve standards, assess student progress and energise learning. Inspiration can be used for:

6. Location and Use Permissions

Authorised Users are those individuals, who must be a currently registered student, faculty member or employee of the licensed institution, who are authorised by the licensee to access the licensee's information services whether from a computer or terminal on the licensee's secure network or off-site via a secure access management system.

A walk-in user is a person who is not a currently registered student, faculty member or employee of the licensed institution, but is permitted to access the secure network only via a computer or terminal within the licensee's premises, and is deemed to be an Authorised User.

It is a requirement of the Licensee (Institution) that it is satisfied that the user is an employee, student, or other person authorised by the Licensee for the purposes of the normal business of the Licensee's organisation.

Home Use

Home use of Inspiration 8.0 is NOT permitted under the terms of the Agreement, except where Teacher Home Licence Privileges are invoked:

Teacher Home Licence Privileges:the Volume Licence available under this Agreement also grants the licensee the right to give teachers, employed by the institution named on the End-User Licence, permission to install and use the Software on computers located outside of the named institution, provided that (i) the number of off-site copies of the Software does not exceed the total number of computer licences purchased by the same institution, and that (ii) the use of the Software is restricted to work related to the teacher's employment with the institution. For clarity, use of the Software by students on computers located outside of the institution is specifically excluded from the Licence.

7. Platforms

Inspiration 8.0 may be installed on any PC or Macintosh meeting the system requirements set out below, provided adequate licences have been purchased for those computers.

9. Institution Evaluation Copy/Exhibition Licence

A free 30 day evaluation copy is available from TAG Learning, or from Inspiration.

10. Licence Type

Volume User Licence (five users minimum per Institution) with modified Chest terms and conditions of use. See Appendix C to Schedule 4 - Special Conditions for Special Licence Terms.

Copying of the Software is allowed at licensed Institutions only in accordance with Appendix C to Schedule 4 - Special Conditions and the standard Code of Conduct for the Use of Software or Data.

11. Personal Licences

Personal licences are not available under this Agreement. However, Institutions may purchase additional licences for bona fide students at a discounted price of £26.00 per computer licence (normally, £59.95).

12. Post Termination of Agreement Period

The software is purchased outright. Telephone, email and web-based support will continue until the end of the Agreement Period (30 November 2007) after which date support and maintenance will terminate.

14. Right to Copy Documentation

Copying of documentation and software is not permitted, except in accordance with Appendix C to Schedule 4 - Special Conditions.

15. Training and Training Materials

The Agreement includes the provision of one training CD-ROM (called Exploring Inspiration) with each software order, which will be provided when the product is initially delivered to the institution. No further training is provided under the Agreement. However, additional Exploring Inspiration training CD-ROMs are available from TAG for £17.82 plus VAT.

16. System Releases, New Versions and New Functionality

New versions, system releases and associated new documentation are not covered under the Agreement. 18. Pricing

Each Licensed Site will pay to TAG a one-off fee of £88 for the initial pack of 5 licences purchased and £17.60 for each additional Licence purchased over and above the initial 5.

19. Payment Terms

TAG will invoice Licensed Sites for the initial fee upon delivery of the software. TAG will invoice upon delivery and not upon receipt of a licence agreement. Payment terms will be 30 days from receipt of the invoice.

20. Method of Delivery of Product

The master copies of Media Sets, training and teacher's guides and a Volume Licence Agreement will be delivered to the Licensed Site by TAG Learning when the Chest licence/order form (Schedule 4) is signed by the Site and returned to TAG. See "How to Order" below.
