(iv) Agreement Period

This is a 3 year Agreement commencing on 1st May 2005 and terminating on 31st July 2008. Institutions may participate at any time during the period; however they will be bound until the end of the Agreement Period or the end of the 3 year license term which ever is the later date.

The licence term for sites that sign up before 31st July 2005 will be from date of signing until 31st July 2008.

The Agreement to which this refers is a formal agreement between Eduserv and FortressGate Inc.

2. Eligible Sites

This Agreement is available to institutions of Higher and Further Education, and Research Councils in the United Kingdom, Third Level Colleges in the Republic of Ireland, and those Associated Sites that have been approved by FortressGate.

3. Background Detail / Community Evaluation

Eduserv Chest entered into negotiations following an approach from FortressGate Inc and expressions of interest from the community.

4. Products Covered

The Agreement covers PowerPressed software and one set of documentation for each platform provided. The charges also include support, new versions, system releases and associated new documentation. New platforms will be available within the charges if and when commercially available from FortressGate Inc.

5. Product Description

"Microsoft® Office® PowerPoint® presentations can be very large and sometimes difficult to share across networks, through email, and on the internet. The function of the PowerPressed AddIn is to compress the size of presentations so that they are portable while still maintaining the PowerPoint file format. Many options have been added to allow users to find their own balance of what 'fit for purpose' and portable means to them.

6. Location and Use Permissions

"Authorised Users" are those individuals who are authorised by the Licensee to access the Licensee's information services available through the Licensee's Secure Network and who are:

  1. affiliated with the Licensee as a current student, faculty, employee, or in some other capacity whereby they are permitted to access such services in the Licensee's ordinary course of business, whether from a computer or terminal on the Licensee's Secure Network, or offsite via a modem link to a valid IP address on the Licensee's Secure Network;

  2. additionally, in the case of walk-in users, they must be physically present on the Licensee's premises.

It is a requirement of the Licensee (Institution) that it is satisfied that the user is an employee, student, or other person authorised by the Licensee for the purposes of the normal business of the Licensee's organisation.

10. Licence Type

Site Licence with Departmental Licence option in accordance with Eduserv General Licence Conditions and FortressGate "Service Level Agreement" (attached).

Copying of the Software is allowed at any licensed Institution for use in accordance with Clause 3 of the Licence and the standard "Code of Conduct for the Use of Software or Data".

11. Personal Licences

Personal Licenses are not covered by this Agreement.

12. Post Termination of Agreement Period

The software products will automatically terminate 3 years from the date of initial installation and license activation in keeping with the terms of the lease license agreements. The products licenses can be reactivated on request for a further term of 3 years in which case they will remain active in perpetuity.

13. Product Documentation

The initial copy is provided (see Products Covered). The product has a comprehensive help file and user guide integrated into the user interface of the products. Copies of the user guide are also available in Word and PDF formats from the Fortressgate Inc. website and FTP.

14. Right to Copy Documentation

Copying of documentation and software is permitted.

15. Training and Training Materials

The Agreement does not include the provision of training and training materials other than that available on the FortressGate PowerPressed website at www.powerpressed.com/.

16. System Releases, New Versions and New Functionality

One copy of system releases and/or new versions will be sent by FortressGate Inc. to Licensed Sites as and when they become commercially available.

17. Initial Consultancy/Support

FortressGate will provide Software Support Services for the PowerPressed in accordance with the "Service Level Agreement" attached. Support to each Licensed Site shall be through a single nominated contact (or deputy) at that Site. The charge for this support is included in the annual payments shown below.

Note: All prices are shown exclusive of VAT.

Sites that sign up between 1st May 2005 and 31st July 2005 will pay the standard annual fee for the period ending 31st July 2006.

19. Payment Terms

On receipt of a completed Licence, Sites will be invoiced for the Agreement year in which the Licence is signed.

For each subsequent year, Sites will be invoiced three months in advance of the anniversary date of the Agreement (invoice dates 1st May 2006 and 1st May 2007).

There is no pro-rata charging for Sites which become licensed part-way through a year.

All payments must be made to "Eduserv" within 30 calendar days of the date of invoice.

Note: You are advised that because of the requirement for Chest to collect monies due before the anniversary date two charges may fall initially into one academic accounting year.

20. Method of Delivery of Product

The master copies of media and Licensed Materials will be delivered to the Licensed Site by FortressGate Inc. when the licence (Schedule 4) is signed by the Site and returned to Chest. Alternatively, software may be downloaded from the FortressGate Inc. website. See "How to Order" below.
