(iv) Agreement Period
This is a Site Purchase Agreement which commenced on 1 August 2005 with an original termination date of 31 December 2005. The Agreement has been extended to 31 December 2009. Institutions may participate at any time until that date.The Agreement to which this refers is a formal Agreement between Eduserv and Gael Ltd.
2. Eligible Sites
This Agreement is available to Institutions of Higher and Further Education in the United Kingdom and the Republic of Ireland, Specialist Colleges and Research Councils.3. Background Detail / Community Evaluation
The issue of accessibility in IT has been well documented since the details of the Special Educational Needs & Disability Act 2001 were made known. Chest attended a number of seminars and carried out an extensive survey throughout the academic community in order to identify the products required by Institutions, to help them conform with the new regulations.Eduserv wished to support Higher and Further Education by enabling access to and usage of digital information and resources. To further that aim, Eduserv funded the purchase of national site licences for a number of assistive technology products, and made the products available at no charge to Institutions, under the terms of the Eduserv Foundation Programme, 2003, Assistive Technology Strand.
In association with TechDIS, Eduserv identified MindGenius as a product that may assist all staff and students with the organisation of their work, but in particular can assist staff and students with Dyslexia and other learning difficulties. Eduserv and Chest acknowledge the help provided by the JISC TechDis Service www.techdis.ac.uk/
The national site licences funded by Eduserv included the option for those sites that took up a licence to convert it to a perpetual licence for the then current version of the software, MindGenius v1.51, before 31 July 2005.
This Agreement was negotiated in order to provide Chest Sites with the option of purchasing a perpetual site licence for the most recent version of the software, MindGenius education.
4. Products Covered
The Agreement covers the most recent version of the software, MindGenius education 2005.5. Product Description
MindGenius is a sophisticated mind mapping program giving the flexibility to draw a variety of concept maps and then export them to a variety of applications. Originally developed for business, MindGenius has many applications within education:- MindGenius will integrate into many Learning and Skills Development modules at FE, under- and post-graduate level.
- MindGenius is a cross-curricular package and while it is of use to all students and staff it is of particular benefit to dyslexic people who need help organising their work.
Its innovative approach of displaying the map, the "map explorer" (which displays the text outline of your map in a hierarchal tree arrangement) and the notes editor, where you can enter, edit and format notes associated with your map, makes it an ideal tool for both mind mapping and for planning essays, projects, presentations or even web pages.
MindGenius enables you to change the layout, spacing and style of your map, with more than 15 different layouts available, including an outline layout. There are also a number of options for attaching files, maps, images and icons to a map. As MindGenius has been designed specifically to integrate with other applications its import/export features are very advanced - at the click of a button you can convert your map into a Word document or PowerPoint presentation. Options include using your own, pre-defined templates or using your map style, and exporting a graphic of your map, images, icons, attachments and notes.

6. Location and Use Permissions
Authorised UsersThe following is taken from the Chest standard licence conditions. Please refer to these, the Special Licence Conditions and Gael's terms and conditions for full details.
- A walk-in user is a person who is not a currently registered student, faculty member or employee of the licensed institution, but is permitted to access the secure network only via a computer or terminal within the licensee's premises, and is deemed to be an Authorised User.
Please Note: Machines on which the software is installed must be under the jurisdiction of the institution. You may not install the software on student or employee owned machines.
It is a requirement of the Licensee (Institution) that it is satisfied that the user is an employee, student, or other person authorised by the Licensee for the purposes of the normal business of the Licensee's organisation.
7. Platforms

100MB available hard disk space.
For export function to MS Office applications, MS Office 97 or later is required.
9. Institution Evaluation Copy / Exhibition Licence
Fully working 30 day evaluations of MindGenius are available for download from Gael's Web Site at www.mindgenius.com
10. Licence Type
The licence is a Site licence with standard Chest terms and conditions of use as amended by the Special Licence Conditions and Gael's Licence Terms and Conditions.Please note: Machines on which the software is installed must be under the jurisdiction of the institution. You may not install the software on student or employee owned machines.
Copying of the Software is allowed at any licensed Institution for use in accordance with Clause 3 of the Special Licence Conditions and the standard "Code of Conduct for the Use of Software or Data" and the MindGenius Licence. The software can be installed using the registration code supplied with the CD.
11. Personal Licences
Institutions may purchase personal copies of MindGenius education v2 on behalf of their staff and students direct from Gael. Personal copies are sold in bundles of 5 for £160. Please contact Gael for more information.12. Post Termination of Agreement Period
At the end of the Period of Agreement Licensed Sites may continue to use MindGenius in accordance with the terms of the Licence.Software Implementation Support Services will be provided by Gael to a Licensed Site from the date of the delivery of a licence purchased under this Agreement by that Licensed Site until a full twelve months after the activation of the same licence.
However, without prior arrangement between Gael and Licensed Site there will be no further provision of Software Implementation Support Services at the end of that twelve month period.
13. Product Documentation
Full product documentation is built into the help menu of the software. There is no paper-based manual.14. Right to Copy Documentation
On-line help files can be printed for the individual User's use.15. Training and Training Materials
Various types of training are available from Gael, in accordance with the current options listed on the MindGenius website and under Gael's standard terms and conditions.16. System Releases, New Versions and New Functionality
System Releases and new versions are not available under this Agreement. Sites will need to contact Gael directly in order to obtain these.Patches, bug-fixes and updates for MindGenius will be provided by Gael via its website. Licensed sites will have access to such patches, bug-fixes and updates for as long as they are available.
17. Initial Consultancy/Support
SupportGael will provide free of charge email Software Implementation Support Services for MindGenius to a Licensed Site from the date of the delivery of a licence purchased under this Agreement by that Licensed Site until a full twelve months after the activation of the same licence. However, without prior arrangement between Gael and a Licensed Site there will be no further provision of Software Implementation Support Services at the end of that twelve month period.
On-site Support
On-site support will be charged at the rate of £1500 plus VAT per day plus expenses. However, if a Site has made a prior arrangement with Gael (see above) then on-site support will be charged at £750.00 plus VAT per day plus expenses.

19. Payment Terms
Sites will be invoiced on receipt of a completed Licence.Payment must be made to Eduserv within 30 calendar days of the date of invoice.
