(iv) Agreement Period

This Agreement will remain in force for five (5) years from 1st October 2004 to 30th September 2009, unless terminated by the operation of any other clause of this Agreement. Institutions may participate at any time during the period. However Institutions shall be bound for an initial period of three (3) years. An Institution's licence will commence from the date of issue of the initial invoice from the Reseller to the Site. This date will be confirmed in writing to the site by the Reseller.

2. Eligible Sites

This Agreement is available to institutions of Higher and Further Education, Research Councils in the United Kingdom and Third Level Colleges in the Republic of Ireland. Associated Sites may be able to participate which will be decided on a case by case basis. SURFdiensten and IATUL sites are not included.

3. Background Detail / Community Evaluation

Mathcad is the industry standard software for applying mathematics and is used widely in the UK academic market and by technical professionals worldwide. Under this agreement Mathsoft Engineering & Education Inc offers Mathcad enterprise edition on a site licence basis. Eduserv Chest has sought extensive advice from the community and there appeared sufficient interest to proceed with this agreement.

4. Products Covered

The Agreement covers Mathcad software and one set of documentation for each platform provided. Mathcad and all Mathsoft owned Libraries and Extension Packs are included for the Large Medium and Small banded sites. For Very Small banded sites, only Mathcad itself is offered.

As at July 2004 the Extension Packs available are: Data Analysis, Wavelets, Solving and Optimising, Image Processing, Signal Processing. The Electronic Libraries available are: Electrical Engineering, Mechanical Engineering and Civil Engineering.

The annual charges also include support, new versions, system releases and associated new documentation. New platforms will be available within the annual charges if and when commercially available from the publisher.

5. Product Description

Mathcad is the industry standard for applying mathematics. The Mathcad product family allows users to calculate, graph, and communicate technical ideas. Patented electronic math TM technology lets users work with mathematical expressions using standard mathematical notation - but with the added ability to recalculate, view, present, and publish with ease, even to the Web. Features in Mathcad Enterprise address the requirements of large organisations that need to create and manage standards and integrate software into their workflow.

Mathcad functionality can be extended through function extension packs and interoperable software packages, including add-ons dedicated to signal processing, image processing, wavelets, and solving and optimization which are included in this licence arrangement. In addition, civil, electrical and mechanical engineering electronic libraries are also included.

Use of Mathcad is relevant across a wide number of technical disciplines by students to experiment, investigate and simulate, as well as documenting their mathematical work.

Mathcad is applicable across all Engineering disciplines, Maths and Computer Sciences, Physical and Biological Sciences and Economics, Accounting and Business Studies

It can be used as a demonstration tool, a student maths tool, a delivery mechanism for on-line maths courses and as a platform for research calculations and publication.

6. Location and Use Permissions

Authorised Users

"Authorised Users" are those individuals who are authorised by the Licensee to access the Licensee's information services available through the Licensee's Secure Network and who are:

  1. affiliated with the Licensee as a current student, faculty, employee, or in some other capacity whereby they are permitted to access such services in the Licensee's ordinary course of business, whether from a computer or terminal on the Licensee's Secure Network, or offsite via a modem link to a valid IP address on the Licensee's Secure Network;

  2. additionally, in the case of walk-in users, they must be physically present on the Licensee's premises.

It is a requirement of the Licensee (Institution) that it is satisfied that the user is an employee, student, or other person authorised by the Licensee for the purposes of the normal business of the Licensee's organisation.

7. Platforms

Windows 2000 (SP4), Windows XP SP2 or higher.

Note: This specification is for Mathcad v11, as at July 2004 and is subject to change in future releases. Up to date specifications can be found at www.adeptscience.co.uk.

8. Requirements

Processor: - Pentium-compatible 32-bit (x86) or 64-bit (x86-64, EM64T) Processor
  - 400 MHz or higher - 700+ MHz recommended
Hard Disk: - 550 MB of hard disk space (250 MB for Mathcad, 100 MB for pre-requisites, 200 MB temporary space during installation).
RAM: - 256 MB of Ram - 512 MB or more recommended
CDrom: - CD-ROM drive

Other Requirements:

SVGA or higher graphics card and monitor, mouse or compatible pointing device

9. Institution Evaluation Copy

A free 30 day single user evaluation copy of Mathcad 14 is available the Adept Scientific website.

10. Licence Type

This is a site licence agreement. Software may be installed on a storage device, such as a network server, to allow individuals within the institution to access and use the software from other devices in accordance with the Mathsoft End User Licence Agreement.

The use of Mathcad Products is licensed under the Eduserv General Licence Conditions and the Mathsoft End User Licence Agreement and the Licensee agrees to be bound to the Licensor by the Mathsoft End User Licence Agreement.

In the event of a conflict between the terms of the Mathsoft End User Licence Agreement and the Eduserv General Licence Conditions, the terms of the Mathsoft End User Licence Agreement shall take precedence.

11. Personal Licences

Students may purchase a Personal Licence for £40 (excluding delivery and VAT) directly from Adept Scientific. This is a CD only which also contains documentation. Licensed institutions may provide the student with required add-ons and libraries at no additional charge, providing they are licensed for those.

By approval of Adept Scientific an alternative method of delivery of the Student Personal licence may be made available whereby the University makes controlled copies of a special bulk Personal Licence CD for individual sale at £40 plus VAT to the students, reporting back at the end of each month to Adept Scientific via a single named contact. Sites using this method must include the contact details of each person who has purchased a licence under this scheme. Invoices will be raised monthly for immediate payment by the site.

Staff members will be able to purchase Mathcad for use on their personal computers for the reduced price of £99, excluding delivery and VAT. This is purchased direct from Adept Scientific and will include printed documentation.

For purchases direct from Adept Scientific, proof will be required of current student registration or staff employment.

Support for Student Personal Licences must be obtained through the site technical contact.
Personal and Staff licences are only available for Mathcad 14 and higher.

As at July 2004 all personal, staff and single user licences require on-line product activation.

12. Post Termination of Agreement Period

Unless sites have selected the outright purchase option or Eduserv Chest has negotiated a new agreement, then at the end of the agreement period sites must remove the Mathcad software from their systems.

13. Product Documentation

The initial copy is provided (see Products Covered). Additional documentation can be purchased. As at July 2004, the manual for Mathcad v11 is £40 excluding delivery.

14. Right to Copy Documentation

Copying of documentation and software is permitted, providing the relevant copyright notice is incorporated.

15. Training and Training Materials

Built-in examples, tutorials and reference material are available. Additional resources can be found on the Web; for example from www.mathcad.com/library/

This Agreement does not include the provision of training and training materials other than the built-in examples. However, chargeable training is available from Adept Scientific.

As at July 2004, an on-site Mathcad training course is £995 (plus trainer's expenses) for up to 4 people for 1 day. Additional attendees are £195 each up to a total of 10.

Attendance at a 1 day scheduled course at Adept Scientific is £295 per person.

Alternative courses may be possible by arrangement.

All prices exclude VAT.

16. System Releases, New Versions and New Functionality

One copy of system releases and/or new versions will be sent by Adept Scientific plc to Licensed Sites as and when they become commercially available. Where incremental updates are made available by the publisher only via the Web, Adept Scientific will advise the technical contact of how to download the update.

18. Pricing

Site Banding is based on the JISC banding criteria www.jisc.ac.uk/collections_banding.html. Sites in categories A-C are classed as Large, bands D-E as Medium, F as Small and G-J as Very Small. Irish sites have been classified in a similar manner. Research Councils are classed as Large sites with the exception of PPARC which is classed as a Medium site.

The Site will pay the following charges during the period of the Licence according to their licence end date:

19. Payment Terms

On receipt of a completed Licence, Sites will be invoiced by Adept Scientific for the annual licence fee.

For each subsequent year, Sites will be invoiced by Adept Scientific in the month prior to renewal.

There is no pro-rata charging for Sites which become licensed part-way through a year.

Sites may, if they wish, pay a single charge to cover their commitment period (minimum 3 years)

All purchase orders and payments must be made to "Adept Scientific plc". Invoices are payable within 30 calendar days of the date of invoice.

20. Method of Delivery of Product

The master copies of media and Licensed Materials will be delivered to the Licensed Site by Adept Scientific plc when the Licence is signed by the Site and returned to Adept Scientific. See "How to Order" below.
