1.4 Agreement Period

This is a 3 year Agreement commencing 1 April 2006 and terminating 31 March 2009. It is the intention of Eduserv Chest and Platform Computing to renew the Agreement at this point; however, if at the end of the initial 3 years the Agreement is not renewed, then the terms and conditions of the Agreement may continue for a further year with Licensed Sites entitled to either a) a further 1 year licence including upgrades and support or b) outright purchase of the licence - licence becomes perpetual with no further upgrades or support. The prices will be as indicated for a 1 year licence fee (see 18. Pricing).


1.5 Institution Commitment Period

Institutions may participate at any time during the period; however, they will be bound by the terms and conditions, including payments, until the end of the term of the Agreement Period.

The Agreement to which this refers is a formal Agreement between Eduserv and Platform Computing.

 

2. Eligible Sites

This Agreement is available to Institutions of Higher and Further Education and Research Councils in the United Kingdom, and to Third Level Colleges in the Republic of Ireland.

Associated Sites should apply to Chest in the first instance and Platform Computing may agree to the Site's inclusion in the Agreement on a case-by-case basis.

 

3. Background Detail/Community Evaluation

This Agreement was negotiated in response to a number of 'Wishes' for LSF from the community, and delivers significant cost savings.

 

4. Products Covered

The Agreement covers Platform LSF HPC software and one set of documentation for each platform provided. The charges also include support, new versions, system releases and associated new documentation. New platforms will be available within the charges if and when commercially available from Platform Computing.

5. Product Descriptions

The following description is taken from The Platform.com website.

Platform software solutions are implemented to grid-enable applications and consolidate IT resources across a shared, virtualised infrastructure. To fully optimise your IT resources, Platform products enable your applications to dynamically and intelligently share resources through self-management, guaranteed service, resource provisioning and workload management across a grid.

Platform LSF HPC manages and accelerates High Performance Computing (HPC) mission-critical, parallel and serial batch workload.

6. Location and Use Permissions

"Authorised Users" are those individuals, who must be a currently registered student, faculty member or employee of the licensed institution, who are authorised by the licensee (Institution) to access the licensee's information services whether from a computer or terminal on the licensee's secure network or off site via a secure access management system.

A walk-in user is a person who is not a currently registered student, faculty member or employee of the licensed institution, but is permitted to access the secure network only via a computer or terminal within the licensee's premises, and is deemed to be an Authorised User.

It is a requirement of the Licensee (Institution) that it is satisfied that the Authorised User is an employee, student, or other person authorised by the Licensee for the purposes of the normal business of the Licensee's organisation.

9. Institution Evaluation Copy/Exhibition Licence

Sites wishing to evaluate LSF HPC can complete and submit an evaluation request form at the Platform.com website.

 

10. Licence Type

Volume licence with special Chest terms and conditions of use. Copying of the Software is allowed at any licensed Institution for use in accordance with Clause 3 of the Special Conditions and the standard Code of Conduct for the Use of Software or Data.

 

11. Personal Licences

Personal licences are not available under this Agreement.

 

12. Post Termination of Agreement Period

At the end of a Licence period, sites will be required to delete the software from their systems.

It is the intention of Eduserv Chest and Platform Computing to renew this 3 year Agreement. 13. Product Documentation

Documentation is made available electronically from the Platform.com website.

 

14. Right to Copy Documentation

Copying of documentation is permitted.

 

15. Training and Training Materials

PCL agrees to provide a quarterly community training event at either PCL's UK headquarters or an Institution, at PCL's discretion. This community training will be made available free of charge to Institutions that are up to date on Annual Fees and provides a basic introduction to LSF HPC.

PCL may provide any other training services from time to time pursuant to its standard terms and at its then current standard rates.

 

16. System Releases, New Versions and New Functionality

One copy of system releases and/or new versions will be sent by Platform Computing to Licensed Sites as and when they become commercially available.

 

17. Initial Consultancy/Support

Support will be provided by Platform Computing via a single contact or his/her deputy at each Site as per the PCL Support and Maintenance Document.

18. Pricing

The charges are:

To the above charges will be added VAT at the prevailing rate.

Please note - monthly pro-rating will apply each agreement year (please see examples below).

 

19. Payment Terms

On receipt of two completed Licences/Schedule 4s (Schedule of Particulars) and a Commitment Form plus an Institution Purchase Order made payable to Eduserv, sites will be invoiced for the Agreement year in which the Licence is signed.

For each subsequent year, Sites will be invoiced three months in advance of the anniversary date of the Agreement on 1 January 2007 and 2008 to cover the period to 31 March 2009.

Note - monthly pro-rating will apply each agreement year; for example:

Sites purchasing licences in March will pay 12/12ths.

Sites purchasing licences in April will pay 11/12ths.

Sites purchasing licences in May will pay 10/12ths etc.

Invoicing Example:

1 April 2006: Site X buys 30 copies of Single core LSF HPC at £30 x 30 = £900.

30 June 2006, Site X buys 30 copies of Single core LSF HPC at £22 x 30 + 30 copies of Dual core LSF HPC at £5.50 x 30 = £825.

1 October 2006, Site X buys 500 copies of Single core LSF HPC at £18 x 500 + 500 copies of Dual core LSF HPC at £4.50 x 500 = £11,250.

Subsequent annual invoice for Site X is calculated as 560 copies of Single core LSF HPC at £18 x 560 = £10,080 PLUS 530 copies of Dual Core LSF HPC at £4.50 x 530 = £2,385, making a total invoice cost of £12,465.

Please note: you are advised that because of the requirement for Eduserv to collect monies due before the anniversary date, two charges may fall initially into one academic accounting year.

From the end of the Agreement period no further charges are payable except that if continued support and update service is required this will be a matter for negotiation between PCL and the Licensed Site.

Should a Site participate part-way through an Agreement year, monthly pro-rating will apply.

Prices quoted exclude VAT.

All payments must be made to "Eduserv" within 30 calendar days of the date of invoice.

 

20. Method of Delivery of Product

The product is available for download from the Platform.com website; on placing an order with Platform Computing specific download details will be provided to the Licensed Site.
