1. Agreement Details

1.4 Agreement Period
 

This is a 3 year Agreement commencing on 1st March 2008 and terminating on 31 July 2011. The first licence period will be a 17 month licence in order that the licence anniversary and end date can be moved to the beginning of the academic year.


1.5 Institution Commitment Period

Institutions may purchase a licence at any time during the Agreement Period; however they will be committed to paying for this licence from the date of purchase until the end of the Agreement Period.  Third party products will have a commitment period of 1 year only, these products are identified in ‘Pricing’.


2. Eligible Sites

This Agreement is open to institutions of Higher and Further Education in the United Kingdom, institutions of Higer and Further Education (Third Level Colleges) in the Republic of Ireland and Museums and Libraries in the UK and Republic of Ireland. ArcGIS Server Advanced Enterprise

ArcGIS Server is a comprehensive platform for delivering enterprise GIS applications that are centrally managed and support multiple users.  ArcGIS Server provides the framework to build and deploy centralised GIS applications and services to meet a variety of needs using a variety of clients.

ArcGIS Server Extensions

ArcGIS Server optional extensions allow you to add capabilities to your system and create applications leveraging advanced features.  Included extensions are Network, 3D and Spatial Analyst extensions

ArcIMS

ArcIMS is the solution for delivering dynamic maps and GIS data and services via the Web. It provides a highly scalable framework for GIS Web publishing that meets the needs of corporate Intranets and demands of worldwide Internet access.
 

ArcInfo

ArcInfo is the most complete and extensible GIS available. It includes all the functionality of ArcView and ArcEditor and adds advanced geoprocessing and data conversion capabilities. Professional GIS users use ArcInfo for all aspects of data building, modeling, analysis and map display for screen and output.
 

ArcEditor (concurrent use only)
ArcEditor is the complete GIS desktop system for editing and managing geographic data. ArcEditor is a member of the ArcGIS family of GIS products and includes all the functionality of ArcView in addition to comprehensive GIS editing tools.
 
ArcView
ArcView is feature-rich GIS software for visualising, managing, creating and analysing geographic data. Using ArcView you can understand the geographic context of your data, allowing you to see relationships and identify patterns in new ways. ArcView helps tens of thousands of organisations make better decisions and solve problems faster.

Productivity Suite for ArcGIS
The Productivity Suite for ArcGIS combines six of ESRI’s popular productivity products on a single platform.  The Productivity Suite provides a consistent means of managing and using your ArcGIS database. It is designed to enable you to reduce your maintenance requirements and administration commitments whilst at the same time increasing user productivity.

Crime Analyst
CrimeAnalyst uses the power of the ESRI ArcGIS suite of products to collect, combine, visualise, analyse, and share crime information in real-time.

ArcPad and ArcPad Application Builder  
ArcPad is software for mobile GIS and field mapping applications. ArcPad provides mapping, GIS and GPS integration to field users via handheld and mobile devices.  ArcPad Application Builder is the development framework for creating custom solutions for mobile GIS applications and tasks.

EDN (ESRI Developer Network)  
ESRI has an extensive end user and developer community. To better support these software developers, the ESRI Developer Network (EDN) has been created.  EDN for education subscribers will receive the latest versions of ArcGIS Engine Developer Kit, ArcGIS Server and ArcIMS when released on any given platform.  All EDN software will require an authorisation file that will only be valid during the EDN subscription.  Subscribers will receive all updates when new releases become commercially available so they can develop and test on the latest versions of ESRI products.
 
ArcGIS Desktop Extensions
ArcGIS Desktop Extensions allow you to perform a range of extended tasks, such as raster geoprocessing and three-dimensional analysis. These optional extensions can be incorporated into a number of ArcGIS products to enable you realise new benefits from your existing applications. 

3D Analyst

ArcGIS 3D Analyst allows you to effectively visualise and analyse surface data. Using ArcGIS 3D Analyst, you can view a surface from multiple viewpoints, query a surface, determine what is visible from a chosen location on a surface, create a realistic perspective image that drapes raster and vector data over a surface and record or perform three-dimensional navigation.

Geostatistical Analyst    

ArcGIS Geostatistical Analyst is an extension to ArcGIS Desktop (ArcInfo, ArcEditor, and ArcView) that leverages ArcGIS data management, visualisation and mapping tools to put powerful geostatistical analysis tools in the hands of GIS users.  

Spatial Analyst  

ArcGIS Spatial Analyst adds a comprehensive set of advanced spatial modeling and analysis tools to the ArcGIS Desktop.  

Network Analyst

ArcGIS Network Analyst allows you to create and manage sophisticated network data sets and generate routing solutions.

ArcGIS Publisher

ArcGIS Publisher delivers the capability to easily share and distribute your maps and GIS data.

ArcGIS Schematics

ArcGIS Schematics enables users to generate, visualise, and manipulate diagrams from data in a geodatabase.  

ArcScan for ArcGIS

ArcScan is a powerful tool set for importing, correcting, editing, plotting and exporting scanned raster images.

ArcGIS Military Analyst

The ArcGIS Military Analyst extension incorporates a suite of display and analysis tools tailored to meet the special needs of the defence and intelligence user.  This extension can be downloaded.

Maplex for ArcGIS

Maplex is sophisticated, high-end cartographic design software for creating quality labeling and annotation text for map generation.

Tracking Analyst

ArcGIS Tracking Analyst provides tools for playback and analysis of time series data.

ArcGIS Survey Analyst
ArcGIS Survey Analyst is an extension to the ArcGIS family of desktop products that allows you to manage survey data in a geodatabase and display survey measurements and observations on a map.

ArcGIS Data Interoperability
ArcGIS Data Interoperability eliminates barriers for data sharing by providing state-of-the-art direct data access, transformation, and export capabilities.

ArcGIS Server Data Interoperability
The ArcGIS Server Data Interoperability extension enables custom ArcGIS Server applications to directly access hundreds of data formats. The extension also provides access to data translation tools and brings spatial extraction, transformation, and loading (ETL) capabilities to custom server applications via the geoprocessing framework.

ArcIMS Data Delivery  
The ArcIMS Data Delivery extension enables users to easily select, export, and deliver data in multiple formats and projections from a centralized Internet Map Server.

ArcIMS Route Server 
 
ArcIMS Route Server offers fast and accurate routing capabilities within the ArcIMS framework. It lets users perform rapid cross-country routing, set routing preferences (highway preferences, shortest route, or fastest route), and use precision settings to fine-tune results.

ArcGIS Image Server  
ArcGIS Image Server provides fast access to large quantities of file-based imagery. It is processed on-the-fly and on-demand. With ArcGIS Image Server, you can maximize the value of your imagery by making it quickly accessible without reloading.
  

5. Licence Type 

Site licence with special terms and conditions of use (Schedule 4 Part 3 - Special Licence Conditions). Copying of the Software is allowed at any licensed Institution for use in accordance with Clause 3 of the Special Conditions and the standard Code of Conduct for the Use of Software or Data.


Please consider all of the special terms and conditions of use included in Part 3 to the licence Schedule 4, but specific attention is drawn to the following clause:

ArcIMS
Attention is drawn to the specific terms under which the ArcIMS product and deployments created by such software are licensed. The licence covers the use of these products for INTRANET and non-commercial INTERNET use only. ESRI will also allow commercial INTERNET use subject to agreement being reached between ESRI and the Institution. An example for non-commercial internet use would be whwere a site is promoting the university through location maps and examples of research work. ESRI requires sites using the Internet Map Server products on their Internet to aknowledge, on the home page or other relebant page that the mapping is provided using ESRI products, and to provide a link to the ESRI Home Web Pages.

Site requiring the product(s) for commercial purposes are required to discuss their requirements with ESRI. If an Institution aticipates or achieves income over a certain amount (amount to be at ESRI's descretion) ESRI will expect a royalty payment, details of which will be provided by ESRI upon request.

Sites should be aware that ESRI may, from time to time, audit licensed sites' web sites to ensure that these conditions are being adhered to, and are advised to contact ESRI before making any data available on the Internet to ensure that the licence conditions are not contravened.

Licensee shall not act as a service bureau or Application Service Provider (ASP) that allows third party access to the Software, Data and Documentation except as provided herein.

Scope of Use
Please also note the Scope of Use conditions included in Part 5 of the Schedule 4 to the licence

Productivity Suite
The use of Productivity Suite for ArcGIS is governed by an ESRI Licence. Users should read the terms and conditions.


6. Personal Licences

Personal licences are not available under this Agreement.
Users requireing a personal copy must apply to their local ESRI Distributor.


7. Post Termination of Agreement Period

At the end of the period of Agreement, unless a new Agreement is negotiated between Chest and ESRI, sites will be required to delete the software from their systems and return media, documentation and hardware keys (dongles) to ESRI.


8. System Releases, New Versions and New Functionality

One copy of system releases and/or new versions will be sent by ESRI to each technical contact named on the schedule 4 licence at the Licensed Site as and when they become commercially available.
If you need to change contact details, please see modification to Schedule 4 form.


9. Location and Use Permissions


With the exception of EDN Subscriptions the product may be used by any employee working at or student registered at the licensed Institution for the purposes of the normal academic activities of the Licensee's organisation, whether or not they are located on the Licensee's premises as long as they are located in the UK or the Republic of Ireland.
Such use of Product is as follows.

    i)          teaching; 
    ii)         research; 
    iii)         education and learning; 
    iv)        administration and management of the business of the Licensee's organisation; 
    v)         preparation of course materials for instruction only.

General exclusions: 
    vi)        consultancy or services leading to commercial exploitation of Product;

NOTE: "commercial exploitation" is the use of Products for monetary gain either by the Institution or an individual. Where Product is so used this must be a matter for written agreement between the Licensor and the Licensee.

    viii)       work of significant benefit to the employer of students on industrial placement or part-time courses.

General exclusions apply, please see Special Conditions for more information. 

Distance Learners

Distance learning students who permanently reside outside the UKor Irelandmust purchase a copy of the software from their local distributor.  The list of distributor contact details can be found here http://gis.esri.com/intldist/contact/index.cfm.  There is a one year student licence available.


Overseas
If a Site wishes to take ESRI Software out of the UK or Republic of Ireland, an Overseas Request Form should be obtained from the Chest Helpdesk. ESRI (UK) will consider these requests on a case-by-case-basis.

10. Background Detail/Community Evaluation

This Agreement has been negotiated as a further extension to the original Agreement between Chest and ESRI Inc., which was negotiated in 1992.


11. Institution Evaluation Copy/Exhibition Licence

Copies of the ArcGIS Desktop Evaluation CDs are available from the Supplier for evaluation purposes subject to availability of evaluation media kits.  These CD’s have a built in time-out of 60 days and are issued on the basis of one copy per requesting Site.  Sites must undertake not to install the evaluation software on more than one machine at any one time.  Normal licence conditions as laid out in Schedule 4 and the Appendices thereto apply to the evaluation software.  Sites wishing to continue using the software at the end of the evaluation period are required to sign a Schedule 4 Licence.

Evaluation of ArcInfo is subject to separate negotiations between the potential licensee and the Supplier.

LICENSEE EXPRESSLY ACKNOWLEDGES AND AGREES THAT EVALUATION SOFTWARE IS DELIVERED “AS-IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTIBILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINTERFERENCE, SYSTEM INTEGRATION, AND NONINFRINGEMENT.  LICENSEE ASSUMES ALL RISK AS TO THE QUALITY AND PERFORMANCE OF THE EVALUATION SOFTWARE


12. Product Documentation

One complete set to be supplied to each Licensee for each Platform required.


13. Right to Copy Documentation

Documentation means all of the printed and digital materials including, but not limited to, user documentation, training documentation or technical information and briefings supplied under this Agreement.

Copying extracts from Software Documentation for inclusion in internal training material is permitted provided a copyright attribution acknowledgement statement appears in the training material.

Copying of the Supplier full colour product brochure is not permitted.

Additional documentation may be purchased direct from ESRI(UK).

Licensees may use screen captures from ESRI Products, including but not limited to, GUIs, pull down menus, help files, buttons, and icons, so long as Licensees secure all third party data permissions and use the screen captures for educational purposes and research publications only, and not for external training or commercial gain.


14. Training and Training Materials
 

ESRI (UK) offers a variety of training courses for their products. Full details on all ESRI training courses can be found on the ESRI (UK) website


Chest sites will receive a discount of 50 percent on the current course fee as advertised on the ESRI (UK) web site

Application to attend these courses is made directly with the ESRI (UK) training department on 01296 745500 or email training@esriuk.com.

ESRI (UK) delivers public courses at a  number of venues in Aylesbury, Edinburgh, London, Manchester, Nottingham, Bristol, Exeter, Dublinand Belfast.  Details of these locations are available on the ESRI(UK) website.
 
ESRI Price List as at January 2008: Note - 50% discount should be applied to these prices
 

Many courses can be delivered on-site, and prices vary from £1,595 to £1,975 per day +VAT, plus trainer's travel and accommodation expenses.

Arrangements for these on-site courses are made directly with the Supplier training department on 01296 745500 or email training@esriuk.com.  There is no discount available for on-site courses. There is an additional charge of £820 +VAT per day for any further course preparation/customisation.

Virtual Campus
An online "virtual campus" with training in ArcGIS can be accessed from the ESRI Inc web site at http://campus.esri.com/. Following registration and subject to the payment of the licence fee, unlimited access to all asynchronous, self-study courses and web workshops that are authored by ESRI Inc and that are available within the Unlimited Standard Subscription programme will be provided; however, this does not include instructor-assisted (Virtual Classroom) courses and courses provided or authored by third parties. Site administrators must request this product on the licence and email campus@esri.com to request access.

19. Method of Delivery of Product
 

ArcGIS Software
The master copies of media (CDs) and Licensed Materials will be delivered to the Licensed Site by ESRI(UK) when the Licence is signed by the Site and returned to Chest, if applicable.  If sites are renewing their licence they may just need new keycodes, but on receipt of licences ESRI will send a message to the licensed site giving them further instructions.  See "How to Place an Order" below.

Keycodes
All queries relating to keycodes and keycode website access should be sent to keycodes@esriuk.com.
 
Please note that the ESRI/Chest keycode site is only for the production of keycodes for concurrent software; that is software keycoded to hardware key numbers or unix flexlm host ids.

Sites are now able to renew their own keycodes on the ESRI web pages. Details of how to access the site will be sent to the technical contact specified on each Licence form by ESRI (UK).

One of the fields required by the website is the "host name". You do not need to provide a host name and should always enter "xxx" in this field. The actual user can add a name when they get the license file. Host names are not used to produce the keycodes.

Options 3 & 4
Sites who have chosen Options 3 and 4 will only have limited access to the site and will only be able to create keycodes ofr ArcView concurrent and the extensions.
Option 5
Sites who have chosen Option 5 will have no access at all.

Options 3, 4 & 5
Sites who have chosen options 3,4 and 5 are unable to create the keycodes they require can email thier requests to keycodes@esriuk.com with the following information:


Existing authorisation codes for ArcView Single and ArcGIS Server software (ArcGIS Server, ArcIMS and ArcSDE) will continue to work but will be replaced at the release of a new version.

Dongles

ArcInfo version 9.X and concurrent ArcView version 9.X require a 'Sentinal' hardware key (also known as a dongle) on each machine on which it is to be run. The software may be loaded on one server and networked, for example, to 5 machines, therefore only needing one dongle, or it may be loaded on 5 machines, therefore needing 5 dongles. One dongle is supplied with the media.
If ArcView or ArcEditor is required to run on a stand alone machine, sites should request the ArcEditor 60 day CD or the ArcView 1yr CD rather than dongles. Dongles and CD's can be ordered on the ESRI Order Form.
This form should be sent direct to ESRI Order Processing.

ArcView 3.x
Any Site licensed to use ArcView 9 will also be able to use ArcView 3.x at no extra cost. ESRI(UK) will not ship the software itself though unless made aware that this is necessary.

ArcExplorer

ArcExplorer, ESRI's GIS data explorer software, can be downloaded for free from http://www.esri.com/products.html

Productivity Suite for ArcGIS
Any site licensed under the ESRI Chest Agreement can download Productivity Suite for ArcGIS.  On receipt of two copies of the Licence or the Modification Forms requesting the addition of Productivity Suite to your licence, Productivity Suite can be downloaded free of charge, by the nominated Technical Contact at licensed sites. The download is protected by Athensauthentication, and the unique username and password for access will be given to sites who request this, in writing, to chesthelp@eduserv.org.uk.  Note: Any personal Athens username and password will not work.

NOTES:

1At least one of these products must be licensed to entitle sites to purchase items 6-14.

2 This is a ten-copy special opportunity for sites that do not wish to take a full ArcInfo site licence. The 10 user ArcInfo licence is for 10 simultaneous users. Each person may choose to have more than 1 session running on their PC; So 10 people could be running 1 session each on 10 PCs but 10 people could not have 20 sessions running on 20 PCs. The 10 seats may be keycoded from a server or as stand alone.

5 ArcView 9.x is available as concurrent use, and single use unkeyed.  Any Site licensed to use ArcView 9 will also be able to use ArcView 3.x Single Use at no extra cost. ESRI will not ship the software itself though unless made aware that this is necessary.  Extensions available for ArcView 3.3 are Network Analyst, Tracking Analyst, Spatial Analyst, 3D Analyst and ArcPress

6 EDN for education subscribers will receive the latest versions of ArcGIS Engine Developer Kit, ArcGIS Server and ArcIMS when released on any given platform. All EDN software will require an authorization file that will only be valid during the EDN subscription. Subscribers will receive all updates when new releases become commercially available so they can develop and test on the latest versions of ESRI products.

7 These add-on options are for unlimited licences of the specified product. Sites selecting any add-on in option 10 must have also selected options 1, 2, 3, 4 or 5.

Prices are only valid in the first Payment Period and may be subject to increase upon prior notice. Institution may, in the event of such increase, elect to discontinue the product in question from the next Payment Period. A corresponding reduction in fee shall be subject to Institution completing and returning a Certificate of Uninstallation/Removal and Destruction.

 

Licence (Schedule 4)(or Modification form), to cover the period from the start of the licence to the following 31 July.  

Note:the first licence period will be for 17 months so that the agreement anniversary and end date can be moved to be in line with the academic year.

For each subsequent year, Sites will be invoiced three months in advance of the anniversary date of the Agreement (invoice date: 1st May), with the final payment due on 1st May 2010 to cover the period 1st August 2010 to 31st July 2011

Note: You are advised that because of the requirement for Chest to collect monies due before the anniversary date two charges may fall initially into one academic accounting year. 


21. Payment Terms

 

A payment of the licence fee plus VAT will be due on receipt of two copies of the completed licence (schedule 4) (or Modification Form), to cover the period from the start of the licence to the following 31 July.  Pro-rating is available on a monthly basis.
Note that the first licence period will be for 17 months so that the agreement anniversary and end date can be moved to be in line with the academic year.

22. How to Order
