1.4 Agreement Period

This is a 3 year Agreement commencing on 1 August 2004 and terminating on 31 March 2009. Institutions may participate at any time during the period.


2. Eligible Sites

This Agreement is available to institutions of Higher and Further Education, and Research Councils in the United Kingdom, Third Level Colleges in the Republic of Ireland, and those Associated Sites that have been approved by Sonant Software.

Eduserv Chest entered into negotiations for DNS products as a result of requests from the community.

The Agreement does not cover the supply of headset microphones that are used with Dragon NaturallySpeaking.  These are available to be purchased separately from www.sonantsoft.com/mics or from a computer hardware supplier. Dragon Naturally Speaking
DNS software enables users to dictate into most windows-based applications at speeds up to 160 words per minute, with high levels of transcription accuracy. The products are adapted for American, Australian, British, Indian and Southeast Asian speakers of English.

Users may use DNS software to speed up routine tasks on the PC, reduce or eliminate transcription processing costs and delays, transcribe recorded dictation from mobile devices, including Microsoft Pocket PC and commercial digital recorders.

The software has an extensive range of productivity applications and is widely used as a tool for people who need assistance with producing text or who have difficulty in using keyboards.

Dragon NaturallySpeaking Professional can be installed and managed from a central network location. A user can access and synchronise their unique Dragon NaturallySpeaking Professional "voice profile" from any PC on your organisation's local area network.

6. Location and Use Permissions

Authorised Users are those individuals who are authorised by the Licensee (Institution) to access the Licensee's information services available through the Licensee's Secure Network and who are:

(i) affiliated with the Licensee as a current student or employee, or in some other capacity whereby they are permitted to access such services in the Licensee's ordinary course of business.  This may be from a computer or terminal on the Licensee's Secure Network, or offsite via a modem link to a valid IP address on the Licensee's Secure Network;

(ii) Walk-in users physically present on the Licensee's premises.

The Licensee must be satisfied that the user is an employee, student, or other person authorised by the Licensee for the purposes of the normal business of the Licensee's organisation.

Home Use

Home use of Dragon and/or Omnipage is permitted under the terms of the Chest licence. However, this does not amount to a personal licence, as use at home by staff or students is subject to the same terms and conditions of use on-site.  This use must be in support of the normal business of the institution. 7. Platforms

The Nuance Products offered under this Agreement are compatible with various operating systems.  Please see the individual product requirements listed in section 8 of the overview for more specific details.

Omnipage Pro is also available for the Mac. There is no Media CD for Omnipage Pro X for the Mac and any Site purchasing a licence will need to purchase an OmniPage Pro X for Mac box as their Media CD, which is £85.10.


8. Requirements


Dragon Naturally Speaking

DNS has been optimised for a variety of popular processors, including the Intel Pentium 4, Pentium III, Pentium II, Pentium with MMX, Intel Celeron, AMD K6-2, AMD K6-III with 3DNow!, AMD Athlon.  Faster processors will yield faster performance.

9. Institution Evaluation Copy / Exhibition Licence

Evaluations and demonstrations can be organised by contacting the supplier at sales@sonantsoft.com


10. Licence Type

Volume user perpetual licence (five users minimum per institution) with modified Chest terms and conditions of use. See Appendix C to Schedule 4 for Special Licence Terms.

Copying of the Software is allowed at any licensed Institution for use in accordance with Clause 3 of the Licence and the standard Code of Conduct for the Use of Software or Data.

Licensed Sites will also be subject to the Product Owner's standard End User License Agreement Terms as stated in the Modified General License Terms. An End User License Certificate will be issued for each purchase or additional purchase of license copies you make. The End User License will state the number of Licenses issued each time.

The minimum number of License Copies for each order is five.


11. Personal Licences

Personal Licenses are not covered by this Agreement. However, single boxed copies of the software can be purchased from the Supplier at www.sonantsoft.com


12. Post Termination of Agreement Period

The products covered by this Agreement are licensed in perpetuity and the terms & conditions will continue to apply.  Support will cease at the end of the agreement period. 


13. Product Documentation

The initial copy is provided in electronic PDF format on the software Media CD (if purchased).


14. Right to Copy Documentation

Copying of documentation and software is permitted for use within the Insitution only.


15. Training and Training Materials

Training is available from various accredited training companies around the UK. Contact sales@sonantsoft.com to identify training options in your area.


16. System Releases, New Versions and New Functionality

Upgrades to the latest versions of the software can be purchased at the prices quoted below.

In the event that a new version of one of the Nuance Products is released, new pricing for that product will be agreed between Eduserv, Nuance and Sonant Software.

18. Pricing

Please note:

  1. The price paid provides a perpetual licence

     

  2. The pricing quoted is per user, and there is a minimum order level of 5 users per order. Unfortunately we are unable to combine updates and new copies to make up the 5 copy minimum order level. You will need to order at least 5 updates or at least 5 new copies.

     

  3. You will need a copy of the media for the current version that you are ordering to operate DNS or Omnipage. Unless you have this already we would expect orders to include the purchase of a copy of the media. Media from one-off boxed copies of the software is no longer suitable for the purposes of this Agreement as it will not allow you to install the software a sufficient number of times.   4. The Upgrade to OmniPage Professional 15 is only an eligible upgrade from OmniPage 11,12 or 14. Without one of these prior versions on the PC, there could be installation problems should an Upgrade be purchased. If there are no prior versions of 11,12, or 14, then you should consider either the Standard product or the Professional Full product.

  5. The upgrade to Dragon Naturally Speaking only applies to upgrades from prevous versions.  Sites cannot pay the upgrade pricing to change from DNS Preferred to DNS Professional.  Those who wish to move from Preferred to Professional will need to buy full price licences for DNS Professional.

VAT will be added to the charges quoted at the prevailing rate at the time of invoicing.

There is a minimum of 5 users per order.

If you are adding users to an existing licence, the number that determines the "Price Per User" is the total number of users of the version of the product licensed under this Agreement.

Licensed users of a version of a product older than the then current version, will not be counted for the purposes of determining the Price Per User for new purchases, unless first upgraded to the current version.

There is no Media CD for Omnipage Pro X for the Mac and any Site purchasing a licence will need to purchase an OmniPage Pro X for Mac box as their Media CD, which is £85.10.


19. Payment Terms

On receipt of a completed Licence and product order form, Sites will be invoiced for the number of Licenses purchased against valid Purchase Orders.  This payment will cover the licensed products in perpetuity.

All payments must be made to "Eduserv" within 30 calendar days of the date of invoice.


20. Method of Delivery of Product

The master copies of media and Licensed Materials will be delivered to the Licensed Site by Sonant Software after the Licence has been signed by the Site and returned to Chest.  For further orders of the product, sites will receive licence certificates.  These are the confirmation that the media cd may be used to make further installations of the software.  No physical product is delivered for additional orders.

22. How to Order

Please note: The pricing quoted under 18. Pricing above is per user, and there is a minimum order level of 5 users per order.

For New Licenses: Complete 1 copy of the licence (Schedule 4) and return it with 1 copy of the product order form and a purchase order.  Signed copies can be scanned and emailed in .PDF format to chesthelp@eduserv.org.uk.  Alternatively, you can send copies to :

For Additional Purchases: If you would like to add copies of either product to an existing licence please complete 1 copy of the modification to licence form and 1 copy of the product order form and a purchase order.  The paperwork should then be sent to Eduserv as outlined above.
