This is a 5 year Agreement commencing on 1st August 2004 and terminating on 31st July 2009. Institutions may participate at any time during the period; however they will be bound until the end of the Agreement Period.

Please Note: CambridgeSoft have reserved the right to increase the prices quoted below by up to 5% per annum. Sites may choose to pay for multiple years of their licence upfront and so avoid any price increases for those years.

2. Eligible Sites

This Agreement is available to Chest Sites of Higher and Further Education, Associated Sites and Universities and Third Level Colleges in the Republic of Ireland.

3. Background Detail / Community Evaluation

This Agreement has been negotiated by Chest in response to a perceived need within the Education community.

5. Product Description

Note: descriptions are for current versions of the software as of May 2005.

ChemDraw Ultra 9.0

This ultimate drawing suite includes ChemDraw Ultra 9.0, Chem3D Std 9.0 (W), ChemFinder Std 9.0 (W) and E-Notebook Std 9.0 (W). It adds Properties LiveLink, Struct<=>Name, ChemNMR, ChemDraw Excel, Calculation of tPSA, ClogP and more, as well as the Chem3D and E-Notebook applications, to ChemDraw Pro.

ChemOffice Ultra 2005

This ultimate suite includes ChemDraw Ultra 9.0, Chem3D Ultra 9.0 and ChemFinder Ultra 9.0. It adds BioAssay Ultra 9.0, BioViz/Office 9.0, BioDraw Ultra 9.0, Inventory Ultra 9.0, E-Notebook Ultra 9.0, Model Explorer, ChemDraw LiveLink, Dihedral Driver, Automatic Overlay, 3D Query/Finder, ChemFinder/Oracle, CombiChem/Excel, as well as the complete set of databases, to ChemOffice Pro.

6. Location and Use Permissions

Authorised Users "Authorised Users" are those individuals who are authorised by the Licensee to access the Licensee's information services available through the Licensee's Secure Network and who are:

(i) affiliated with the Licensee as a current student, faculty, employee, or in some other capacity whereby they are permitted to access such services in the Licensee's ordinary course of business, whether from a computer or terminal on the Licensee's Secure Network, or offsite via a modem link to a valid IP address on the Licensee's Secure Network;

(ii) additionally, in the case of walk-in users, they must be physically present on the Licensee's premises.

It is a requirement of the Licensee (Institution) that it is satisfied that the user is an employee, student, or other person authorised by the Licensee for the purposes of the normal business of the Licensee's organisation.

ChemOffice Ultra 2005 is now a Windows only product (there is no Mac installer). Macintoch customers should purchase ChemDraw Ultra 9.0 (which is both for Mac and Windows). The full CambridgeSoft statement can be found here

9. Institution Evaluation Copy / Exhibition Licence

A 14 day time-limited trial version of the ChemOffice Ultra 2005 software is available on request to Chest or via download from the CambridgeSoft website. This includes all of the features of ChemDraw Ultra 9.0.

10. Licence Type

Site licence with normal Chest terms and conditions of use.

Please note: Special Licence details apply with regard to warranty and copying rights.

Site Licences are assigned on the basis of an Internet domain name, such as yoursite.ac.uk. Anyone who has a valid email address from your Site (such as someone@yoursite.ac.uk) may contact CambridgeSoft via a web form to obtain a serial number and registration code that will allow them to install the software on their computer. Anyone with a valid email address at your school would be covered by your Site Licence and would be able to install the software.

Licensed Sites may not copy the software. Where it is not possible or is not practical for software to be downloaded onto a particular PC, an Authorised User at a Licensed Site may purchase installation media direct from CambridgeSoft at the prices set out below.

A Licensed Site may purchase a "site licence" CD from CambridgeSoft which has a site license serial number and registration code for installation on multiple computers at the Site. However, this may not be given to end users to install the site license software themselves at home.

Home use is allowed under the terms and conditions of use of the licence but the software must either be downloaded directly onto the home PC, seperate installation media must be bought from CambridgeSoft or the PC can be brought in to the institution to have the appropriate IT staff do the install.

If they so choose, a Licensed Site may place copies of the installer and documentation for the CambridgeSoft product they are licensed for on their network or web site. This may make it slightly easier or faster for Authorised Users to install it. However, this is certainly not required.

11. Personal Licences

Personal licences are not available under this Agreement. They can be purchased direct from CambridgeSoft.

Home use is allowed under the terms and conditions of use of the licence but the software must either be downloaded directly onto the home PC, seperate installation media must be bought from CambridgeSoft or the PC can be brought in to the institution to have the appropriate IT staff do the install.

12. Post Termination of Agreement Period

At the end of the period of Agreement, if no new Licence is entered into by a Licensed Site, they will lose the ability to create new data and to edit existing data. They will still be able to view any data created while under the Site Licence.

Pictures copied from CambridgeSoft products and pasted into other applications such as Microsoft Word and Microsoft PowerPoint will always remain visible even on machines that have no CambridgeSoft software installed at all.

Files saved in native CambridgeSoft formats (such as cdx files from ChemDraw and c3d files from Chem3D) may be viewed (but not edited) with the free ChemOffice Net software.

13. Product Documentation

Documentation is installed as part of the installation process and is also available for download in .pdf format from the CambridgeSoft website.

14. Right to Copy Documentation

Copying of Product Documentation is permitted.

15. Training and Training Materials

One day of on-site training or support is included (excluding travel and expenses), if requested, in the annual payments shown in Schedule 1. This on-site training/support must be utilized within 3 months of purchase date. Alternatively, the Licensee can choose to download up to three copies of each of CambrideSoft's available "Recorded Web-Delivered Training" products. These online Recorded Web-Delivered Training products must be downloaded within 3 months of the purchase date of the Site Licence.

16. System Releases, New Versions and New Functionality

Authorised Users at any Licensed Site are entitled to use the most recent version of the CambridgeSoft Products they are licensed for that are available at any given time. Updates will be made available for download from the CambridgeSoft website.

18. Pricing

Please Note: CambridgeSoft have exercised the right to increase the prices by 5% per annum. Sites may choose to pay for multiple years of their licence upfront. Sites doing this will pay the price applicable in the year they join for each of the years for which they have to pay and so avoid the price increases for those years.

Installation Media

Where it is not possible or is not practical for software to be downloaded onto a particular PC an Authorised User at a Licensed Site may purchase installation media direct from CambridgeSoft at the prices set out below:

Site Licence CDROM for installation on multiple PCs at a Licensed Site: $25 plus shipping and handling

Single Licence CDROM for installation off-site by an Authorised User: $25 plus shipping and handling

19. Payment Terms

On receipt of a completed Licence, Sites will be invoiced for the Agreement year in which the Licence is signed.

For each subsequent year, Sites will be invoiced three months in advance of the anniversary date of the Agreement (invoice date: 1st May), the last invoice on 1st May 2008 to cover the period to 31st July 2009.

There is monthly pro-rata charging for Sites which become licensed part-way through a year.

All payments must be made to "Eduserv" within 30 calendar days of the date of invoice.

Note: You are advised that because of the requirement for Eduserv to collect monies due before the anniversary date two charges may fall initially into one academic accounting year.

20. Method of Delivery of Product
